  • Advising Ahmad Hamad Al Gossaibi & Bros (AHAB) on its successful financial restructuring of its over SAR27 billion worth of more than 140 creditors’ claims brought by international and local banks following over a decade of litigation in Saudi Arabia’s largest bankruptcy.
  • Advising a leading Saudi industrial group in connection with filing for financial restructuring for the holding company and 10 subsidiary companies to restructure around US$1 billion of debt under the Bankruptcy Law.
  • Advised the Public Investment Fund (PIF) in connection with landmark development projects, providing regulatory analysis, structuring and master development of real estate facilities.
  • Advising the Saudi Aramco Development Company on a joint venture with Jacobs Engineering to establish a project management and construction management company in the Kingdom, as well as advising on its subsequent sale of 30% of its interest in such joint venture company to the Public Investment Fund of Saudi Arabia.
  • Providing the Royal Commission of AlUla (RCU) with regulatory and development advice.
  • Advised a major Saudi developer in connection with a landmark project in the AlUla Province, providing regulatory analysis and advising on structuring, master development and O&M agreements of real estate and tourism facilities integrated with natural reserve sites.
  • Providing Sultan Holding Company with corporate support, as well as advising on other transactional and commercial matters, including aircraft purchases.
  • Advising a sovereign wealth fund-owned company in connection with a major tourism development integrated with heritage sites.
  • Advising Saudi Arabian Mining Company (Maaden) on corporate matters.
  • Advising Saudi Aramco Entrepreneurship Center (Wa’ed), Saudi Aramco’s entrepreneurship arm, on at least five early to mid-range growth-stage equity investments into Saudi SMEs.
  • Advising Sadara Chemical Company, a joint venture formed between Saudi Aramco and The Dow Chemical Company, with respect to various long-term offtake agreements with the Saudi subsidiaries of international oil service companies for the sale and purchase of chemical and petrochemical products produced at Sadara’s chemical complex in Jubail, Saudi Arabia.
  • Acted for SABIC Agri-Nutrients in connection with its acquisition and consolidation of all of SABIC’s Agri nutrients business, providing advice with respect to structuring, diligence of shared services issues and capital market compliance.
  • Advising Sanabil Investments on a Series C funding round in relation to cross-border structured venture capital investments.
  • Advising Sanabil Investments in connection with its acquisition of a 20% equity stake in Ebrahim Mohammed Almana & Brothers Co.
  • Advising a group of sellers on the sale of 100% of their equity in Kudu Company for Food and Catering to TPB and Abraaj Capital.
  • Advising Amlak International Real Estate Financing Company on diligence of its real estate financing business and acting as legal counsel to IPO.
