Dawn advises clients in the areas of mergers and acquisitions, corporate finance, asset management and funds, including equity fund raising transactions, corporate restructuring exercises and general corporate advisory.

Dawn has worked on complex, multijurisdictional public and private M&A transactions, equity, equity-linked and debt offerings and private placements across a wide range of industries including minerals, oil and gas, infrastructure, engineering, manufacturing, real estate and retail.

Her clients include listed and private companies, investment banks, asset management firms, financial institutions and high net worth individuals. She was also a compliance officer of one of the continuing sponsors under the SGX-ST’s Catalyst Board.

  • Advising Singapore Public Utilities Board on Singapore’s fifth desalination project, the Jurong Island Desalination Plan.
  • Advising the Singapore Public Utilities Board on the Marina East Desalination Plan project, the world’s first dual seawater desalination and river water treatment facility.
  • Advising bidder on a waste to energy project, treatment and disposal of sludge waste from Singapore’s Public Utilities’ water reclamation facilities.

Mergers and Acquisitions

  • Advising and assisting a start-up company with operations in Thailand with its Series B fund raising activities and implementation of an employee stock option scheme.
  • Acting for Giken Sakata (S) Limited in (i) its acquisition of a majority stake in Cepu Sakti Energy Pte. Ltd., in Indonesian oil & gas services company, for an aggregate consideration of up to S$48 million; (ii) its diversification into the oil and gas services sector; and its subsequent restructuring and transfer of its listing and shareholders to a newly incorporated holding company by way of a scheme of arrangement.
  • Acting for certain bondholders in relation to the acquisition of Goodpack Limited by an affiliate of KKR &Co., L.P. by way of a scheme of arrangement, which values Goodpack Limited at approximately SG$1.399 billion.
  • Acting for Action Asia Limited in its voluntary delisting from the SGX-ST and the exit offer made by Almond Garden Corp, a wholly-owned subsidiary of Action Electronics Co., Ltd. which is listed on the Taiwan Stock Exchange. Based on the offer price of SG$0.19 per share, the target group is valued at approximately SG$75.6 million.
  • Acting for ITOCHU Corporation in a closed tender for a private group for a value of approximately SG$450 million.
  • Acting for Sapphire Corporation Limited in its acquisition of Ranken Infrastructure Limited, a China-based Engineering, Procurement and Construction business for SG$75.9 million. The purchase will be paid via cash, the issuance of a SG$50 million bond and the issuance of new Sapphire shares worth SG$16.5 million.
  • Acting for ISR Capital Limited on its fund raising exercise relating to the issue of 2% convertible redeemable bonds to raise to up SG$35 million.
  • Acting for Swissco Holdings Limited on its fund raising exercise of approximately US$43.95 million via the issuance of exchangeable preference shares in special purpose vehicles to acquire two mobile offshore drilling rigs for an aggregate acquisition price of approximately US$122.5 million.
  • Acting for Peak Retail Investments Pte. Ltd. in its SG$299.7 million take-over of Royal Sporting House Limited.
  • Acting for NeteLusion Limited in its SG$2.75 million acquisition of a 55% stake in Retail Resources Management Limited, a major acquisition under Chapter 10 of the Listing Manual.
  • Assisting the offeror in its due diligence exercise for its SG$77.4 million takeover of Eng Kong Holdings Limited.
  • Assisting Hoe Leong Corporation Ltd in its due diligence exercise for its intended acquisition of a 51% stake (approximately SG$19.9 million) in Aries Offshore Singapore Ltd., a holding company for companies in the tanker chartering business.
  • Assisting the purchaser with its due diligence exercise in relation to its acquisition of 100% of the equity of a consumer finance company (worth approximately SG$700 million).   

Asset Management and Funds

  • Acting for Heliconia Capital Management Pte. Ltd., a subsidiary of Temasek Holdings, in the establishment of its four private equity funds in Singapore which seek to invest in small-medium enterprises headquartered, or with significant businesses, in Singapore.
  • Acting for Heliconia Capital Management Pte. Ltd., a subsidiary of Temasek Holdings, in the establishment of its four private equity funds in Singapore which seek to invest in small-medium enterprises headquartered, or with significant businesses, in Singapore.
  • Acting for Eight Capital Management LLC in the establishment of the Eight Capital Mezzanine & Special Situations Fund, a private equity fund to provide mezzanine capital to mid-cap high growth companies in India.
  • Acting as Singapore counsel for IDFC Limited as sponsor, and IDFC Capital (Singapore) Pte. Ltd. as the fund manager of India Infrastructure Fund (Singapore) Pte. Ltd., an India-focused private equity fund which raised US$644 million to invest in a diversified portfolio of infrastructure assets in India.
  • Acting as Singapore counsel to Mapletree Investments Pte. Ltd. and Mapletree Real Estate Advisors Pte. Ltd. Also acting as sponsor and fund manager of Mapletree China Opportunity Fund II, a private real estate fund which raised US$1.4 billion.
  • Acting for real estate investment managers in the establishment of the Tokyo Office Property Fund, which raised US$126 million in equity to invest in mid-sized Tokyo office properties.
  • Acting for Duxton Asset Management Pte. Ltd. in the setting up of the Duxton Pagoda Fund, a Singapore-domiciled fund, established in Singapore that seeks to deliver capital appreciation by actively investing in a portfolio of high conviction and liquid securities (primarily Vietnamese).
  • Acting for DBS Asset Management Ltd. (now known as Nikko Asset Management Asia Limited), in connection with various compliance matters (including filing annual declaration notifications with the Monetary Authority of Singapore, assisting with the changing of the name of the funds and the manager, and providing general advice) relating to The Solidarity Fund, DBS Indochina Fund (now known as Nikko AM Indochina Fund) and DBS China All Access Opportunity Fund (now known as Nikko AM China All Access Opportunity Fund).
  • Acting for DBS Asset Management Ltd. (now known as Nikko Asset Management Asia Limited), in connection with its application to the Monetary Authority of Singapore for the recognition of DBS Asia Credit Fund as a restricted scheme with the Monetary Authority of Singapore.,/li>
  • Acting for GE Asset Management, with an 80-year old heritage of investment experience and more than US$115 billion in assets under management, in connection with its application to the Monetary Authority of Singapore for the recognition of six of its funds (GEAM Global Equity Fund, GEAM Europe Equity Fund, GEAM Euro Fixed Income Fund, GEAM Euro Equity Fund, GEAM Emerging Equity Fund and GEAM China Equity Fund) as restricted schemes with the Monetary Authority of Singapore.
  • Acting for Revere Capital Advisors Pte. Ltd. in connection with the establishment of its Singapore office and in connection with its application to the Monetary Authority of Singapore for the recognition of eight funds (AlphaQuest Original Ltd., AlphaQuest Short Term Ltd., Broadmark Long/Short Equity Fund Limited, Bayswater Global Macro Fund, DCM Alpha Europe Fund Ltd., Concordia Global Equity Relative Value Ltd.   • Acting for PT Syailendra Capital, an avant-garde fund manager in Indonesia's nascent mutual fund industry responsible for launching Syailendra OptiGrowth Fund, the first full-discretionary close-ended fund of its kind in Indonesia with flexibility to completely switch between asset classes and the ability to leverage up to 100%, in connection with its application to the Monetary Authority of Singapore for the recognition of 2 of its funds (Syailendra Equity Opportunity Fund and Syailendra Balanced Opportunity Fund) as restricted schemes with the Monetary Authority of Singapore.
  • Acting for Progressive Capital Partners Ltd., one of Switzerland's leading service providers in the field of alternative investments and investment advisor to the Tulip Trend Fund which won 3 awards at the 2009 Hedge Fund Review European Performance Awards for "Best Managed Futures Hedge Fund", "Hedge Fund of the Year" and "Best Hedge Fund for Three Years", in connection with its application to the Monetary Authority of Singapore for the recognition of Palm Trend Fund Ltd. as a restricted scheme with the Monetary Authority of Singapore.
  • Acting for Matthews Asia, the largest dedicated Asia-only investment specialist in the United States managing US$15.3 billion in AUM as of 31 December 2011, in connection with its application to the Monetary Authority of Singapore for the recognition of five of its funds (Matthews Asia Funds – Asia Dividend Fund, Matthews Asia Funds – Pacific Tiger, Matthews Asia Funds – China Fund, Matthews Asia Funds – India Fund and Matthews Asia Funds – China Small Companies Fund) as restricted schemes with the Monetary Authority of Singapore and providing advice on the marketing of such restricted schemes in Singapore.
  • Acting for Alquity Investment Management Limited formally launched only in 2010 as part of the Alquity Group, which also incorporates Smoothed Growth Investment Management, a long standing investment company with approximately $130 million of AUM, in connection with its application to the Monetary Authority of Singapore for the recognition of Alquity SICAV – Alquity African Fund as a restricted scheme with the Monetary Authority of Singapore and providing advice on the marketing of restricted schemes in Singapore.
  • Acting for Morgan Stanley Investment Management Inc., with over three decades of asset management experience and 48 offices in 21 countries, in connection with its application to the Monetary Authority of Singapore for the recognition of Morgan Stanley Global Diversified Markets Fund (Cayman) Ltd as a restricted scheme with the Monetary Authority of Singapore.
  • Acting for Pentwater Capital Management LP, in advising on its distribution agreement with distributors in Singapore and its application to the Monetary Authority of Singapore for the recognition of Pentwater Event Fund Ltd. – Class G as a restricted scheme with the Monetary Authority of Singapore.
  • Acting for The Kenmar Group, which counts among its clients, major global investment managers, sovereign wealth funds, pension plans, US and international brokerage firms, in connection with its application to the Monetary Authority of Singapore for the recognition of Kenmar Global Resource Fund SPC I Limited as a restricted scheme with the Monetary Authority of Singapore.
  • Acting for a wealth management company in connection with the annual relodgement of its prospectus relating to the a "talents fund".
  • Acting for DBS Asset Management Ltd. (now known as Nikko Asset Management Asia Limited), in connection with various compliance matters (including annual relodgements of its prospectuses, review of marketing materials, advising on regulatory compliance and changing the name of the funds and the manager) relating to five of its retail funds, namely Eight Portfolios (now known as Nikko AM Shenton Eight Portfolios), Horizon Investment Funds (now known as Nikko AM Shenton Horizon Investment Funds), MyHome Funds, DBS Singapore STI ETF (now known as Nikko AM Singapore STI ETF) and ABF Singapore Bond Index Fund.
  • Acting for Lion Global Investors Limited, one of the largest asset management companies in Southeast Asia, in connection with the annual relodgement of its prospectus relating to the LionGlobal Vietnam Fund which invests in companies incorporated in Vietnam and other companies listed elsewhere that have operations in, or derive part of their revenue from Vietnam and the Indo-China region.

  • Acting for NauticAWT Limited on its initial public offering and listing on the SGX-ST.
  • Acting for Q & M Dental Group (Singapore) Limited in (i) its grant of a call option to Heritas Helios Investments Pte. Ltd., a healthcare private equity fund seeded by IMC and managed by IMC’s wholly-owned subsidiary, Heritas Capital Management Pte. Ltd. and (ii) its rights issue, raising approximately SG$44 million collectively.
  • Acting for Giken Sakata (S) Limited on a placement raising gross proceeds of approximately SG$24 million.
