David Zagore concentrates his practice on the business representation of public and private companies and regularly advises boards of directors and management relating to mergers and acquisitions, fiduciary duties, securities law matters, corporate control contests and corporate governance.

David has completed more than US$30 billion in securities offerings and US$15 billion in M&A transactions since the beginning of the financial crisis. He has advised more than 50 public company boards or board committees on transactional, fiduciary and securities law, and corporate governance matters and serves as primary outside counsel to several public companies.

David was named Cleveland Mergers & Acquisitions Law Lawyer of the Year for 2013 by The Best Lawyers in America and has been listed in Best Lawyers since 2003. He is also listed in Chambers USA, as well as in Lawdragon’s Leading Lawyer. He has been recognized by Law & Politics magazine as an Ohio Super Lawyer and was named as one of 78 lawyers worldwide in BTI Consulting Group’s 2001 survey of Fortune 1000 corporate counsel as providing superior client service.

David is a frequent speaker on corporate, fiduciary and securities law matters. He is active in the American Bar Association’s (ABA) Business Law Section, Chairman of the Ohio State Bar Association’s (OSBA) Corporation Law Committee and is the ABA Corporation Law Committee Liaison for Ohio. David also serves on the Coordinating Committee for the ABA’s Delaware Law Forum.

David has chaired numerous drafting committees for Ohio corporate and securities law legislation, including for the Ohio takeover, director liability and indemnification statutes, and has testified on numerous occasions before the Ohio General Assembly regarding corporate law bills. David is the immediate past chair of the OSBA’s Corporation Law Committee and is the co-chair of the Takeover Advisory Committee of the Division of Securities of the State of Ohio. He is also a former co-editor of Ohio Corporation Law & Practice, published by Prentice Hall Law & Business.
