Alfredo Anzola focuses his practice on serving leading manufacturing, telecommunications, consumer product industries and energy companies throughout Latin America, particularly in Argentina, Bolivia, Brazil, Chile, Colombia, Dominican Republic, Ecuador, Panama and Venezuela in areas such as mergers and acquisitions, foreign investment, joint ventures, and distribution agreements.

Alfredo’s vast experience with the structuring, documenting and negotiating international contracts ranges from manufacturing agreements, distribution contracts, agency and joint venture agreements in the trading sector and consumer products industry; acquisition of business portfolios in the telecom industry; power purchase contracts, host government arrangements, farm-ins, privatizations, nationalizations and expropriations in the electricity and power generation business; to oil and gas profit sharing contracts, oil and gas operating agreements, LNG tolling contracts and oil and gas transportation and sales contracts in the oil and gas industry.

Alfredo is registered as an arbitrator by the Bolivian Arbitration Center of the Bolivian Chamber of Commerce. He is an active member of the Venezuelan Bar Association, Association of International Petroleum Negotiators, International Bar Association Section on Natural Resources, Venezuelan Association of Gas Processors (AVPG), Venezuelan-American Chamber of Commerce & Industry, Mining Committee and Colombian-Venezuelan Chamber of Commerce. He is also adviser to the Venezuelan Association of Hydrocarbons (AVHI).

Alfredo Anzola enfoca su práctica en energía (incluyendo la regulación sobre gas natural), aspectos corporativos, inversiones conjuntas (cuentas en participación), financiamiento de proyectos y resolución de disputas internacionales (en la medida relacionada con proyectos de energía) y es co-líder en Venezuela de la práctica energética de la firma. Asesora a clientes involucrados en proyectos de gas natural, petróleo, carbón y generación eléctrica en América Latina.

Alfredo Anzola tiene considerable experiencia asesorando a compañías de propiedad estatal y compañías petroleras internacionales sobre transacciones nacionales y transfronterizas, en las áreas de petróleo & gas, carbón, electricidad y gas natural licuado (GNL). Su vasta experiencia en la estructuración, documentación y negociación de proyectos de energía va desde arreglos con los gobiernos, hasta arreglos entre operadores petroleros para adquirir participaciones en concesiones, privatizaciones y adquisiciones en convenios de cuentas en participación, convenios entre accionistas, contratos de reparto de beneficios, convenios de operación y regulaciones de contratos de Ingeniería, Procura y Construcción, transporte y venta, y arreglos de financiamiento.

Es miembro del Colegio de Abogados del Distrito Capital; la Asociación Internacional de Negociadores Petroleros; la Internacional Bar Association; Sección Sobre Recursos Naturales; la Asociación Venezolana de Procesadores de Gas (AVPG); la Cámara Venezolana Americana de Comercio e Industria, Capítulo de Minería; la Cámara Venezolana Colombiana de Comercio y también es Asesor de la Asociación Venezolana de Hidrocarburos (AVHI).

Experiencia Representativa:

  • Dirección del equipo legal en las negociaciones para la estructuración y desarrollo de un consorcio internacional para la exportación de reservas de gas natural costa afuera y desarrollo de un proyecto para GNL en Venezuela.
  • Asesoría sobre un plan maestro para desarrollar las reservas de gas natural costa afuera de Venezuela y redacción del mismo.
  • Asesoría y redacción de una licencia para transportar gas natural a través de un gasoducto de 200 millas costa afuera, y redacción de los contratos modelo de producción de gas natural asociados a la misma.
  • Asesoría y redacción de una licencia para licuar gas natural a través de una Planta de procesamiento de GNL (2 Trenes) en el oriente de Venezuela y redacción del modelo de convenio de procesamiento asociado a la misma.
  • Participación en la estructuración y desarrollo de una planta de generación termoeléctrica y una planta generadora de energía eólica ambas a ser ubicadas en el occidente de Venezuela.
  • Asesoría en la estructuración y redacción de diversos convenios para facilitar el desarrollo de la infraestructura de un proyecto relacionado con el carbón, incluyendo la construcción y financiamiento de un ferrocarril y un terminal en aguas profundas en el occidente de Venezuela.
  • Asesoría sobre proyectos de transacciones corporativas ayudando principalmente a subsidiarias de compañías de energía venezolanas, incluyendo la venta de ciertos activos de refinación europeos, la adquisición de intereses en terminales de GNL y petróleo crudo en el Caribe y la compra de una flota de tanqueros petroleros.
  • Representación de una compañía estatal en un arbitraje de la CIC derivado de una disputa relativa a cuestiones alegadas como fuerza mayor y rescisión anticipada de un contrato para la Operación y Mantenimiento de un Terminal Petrolero.

  • Representing a US-based technical and support services firm in the US$25 million sale of its public utility enterprise (water) in the State of Rio de Janeiro, Brazil.
  • Negotiating the sale of a supplier of industrial water services in Venezuela valued at US$41.7 million.

  • Structuring the foreign investment of an international oil and gas company in Ecuador.
  • Advising a Venezuela-based power generating company on the restructuring, organization and consolidation of its power generating affiliates in Venezuela.
  • Leading the legal team in negotiations for structuring and developing an international joint venture for the exploitation of offshore natural gas reserves and developing an LNG project in Venezuela.
