James (Jim) Barresi leads the firm’s Financial Services Practice. He advises clients on strategic matters, such as mergers, acquisitions and joint ventures; capital planning and transactions; complex investments; and related regulatory and governance issues. Illustrative clients include commercial and investment banks, specialty finance and financial technology companies, asset managers, and institutional investors in the financial sector, including private equity and hedge funds.

Jim has successfully advised clients on scores of public and private mergers, acquisitions and dispositions and in securities offerings with an aggregate value of more than US$200 billion.

Previously, Jim served as Senior Vice President and Deputy General Counsel of one of the largest and most acquisitive financial holding companies in the US, where he was responsible for all legal support for M&A and capital planning and transactions, among other things, and served on the board of several subsidiaries.

Jim has been listed in The Best Lawyers in America each year since 2007, is an Acritas Star in the global ratings published by Acritas, an independent legal research and consulting firm, and has been selected by BTI Consulting Group as a 2022 Client Service All-Star.

  • Counseling numerous financial institutions, private equity funds and other business enterprises in scores of public and private mergers, acquisitions, dispositions, joint ventures and consortium transactions, including in traditional and distressed circumstances.
  • Advising several financial institutions, corporations and underwriters in raising more than US$70 billion in capital and liquidity, in total, since the beginning of the financial crisis in 2008, including in public offerings and private placements of virtually all forms of equity, debt and hybrid securities.
  • Representing (i) a high-yield fund in structured investments in financial assets; (ii) alternative capital sources in structured investments in financial institutions; (iii) institutional investors in investments in multiple forms of traditional and convertible securities; and (iv) funds and financial institutions in acquiring loan portfolios and other distressed assets.
  • Advising the US Department of Treasury in establishing and implementing several major programs during the financial crisis for the purpose of recapitalizing financial institutions and transferring troubled financial assets (e.g., TARP, HAMP, Hardest Hit Fund).
