Cipriano S. Beredo III

Cipriano Beredo, the Americas Chair of the Corporate Practice, regularly advises public companies and privately held businesses on mergers and acquisitions, securities and corporate finance transactions, and a wide range of corporate governance and general business matters.
Cip has particular experience representing corporations and private equity firms in leading complex multijurisdictional acquisition and divestiture transactions. He has completed transactions in more than 30 countries and routinely manages teams of professionals across the globe. Cip has led merger and acquisition transactions for acquirers and targets, including The Procter & Gamble Company, Timken, Eaton Corporation, Lincoln Electric, Goodrich Corporation, Visteon, Park-Ohio and Cedar Fair.
He has been listed in The Best Lawyers in America since 2011, The Legal 500 US for his expertise in mergers and acquisitions, and in Ohio Super Lawyers since 2011. Cip was also selected by Crain’s Cleveland Business “40 Under 40.”
Cip is a member of the National Asian Pacific American Bar Association, the American Bar Association and is a graduate of Leadership Cleveland, Class of 2014. He is also a member of the Board of Directors of the Diversity Center of Northeast Ohio, the Achievement Centers for Children and the Cleveland Leadership Center.

- Advising a Fortune 300 company on the US$1.4 billion disposition of its specialty chemical business.

- Representing a multibillion-dollar NYSE-listed business information technology and services company in connection with a series of 10 strategic acquisitions over a four-year period.
- Advising a major international specialty chemicals company on a US$525 million acquisition involving 19 countries.
- Advising a privately held pharmacy benefits manager on a US$700 million disposition.
- Representing Leonard Green & Partners in its US$1.6 billion acquisition of Jo-Ann Stores.
- Advising Cedar Fair in its US$1.2 billion acquisition of a group of seasonal amusement parks.
- Advising a private equity firm on its US$135 million acquisition of a maritime shipping operation.
- Advising Goodrich Corporation in the auction sale of its avionics systems manufacture and component overhaul and repair business for US$188 million.
- Advising a Canadian publicly traded company in its US$400 million acquisition of a US beverage company.
- Advising INC Research in its US$232 million acquisition of Kendle International, a publicly traded contract research organization.
- Advising Eaton Corporation in its US$335 million acquisition of a major global aerospace company.
- Advising a leading manufacturer of residential, commercial, industrial and municipal water treatment systems on a US$135 million disposition.
- Advising a major international aerospace company on a US$30 million acquisition.
- Counseling a public company on the private issuance of US$400 million of debt securities.
- Representing NBA star LeBron James on a wide range of corporate matters, including endorsement contracts valued at more than US$50 million.
