Dr. Karl Maria Walter focuses primarily on corporate, transaction and commercial law, as well as handling and supervising complex national and cross-border legal projects and disputes.

Karl’s profound experience covers all aspects of cross-border transactions, mergers and acquisitions, joint ventures, reorganizations and restructurings.

He also regularly advises and represents clients (including shareholders, management and supervisory board members) in high profile dispute resolution matters, often related to national and cross-border transactions, shareholder disputes, as well as shareholder, management and supervisory board rights and duties.

Karl’s client portfolio includes German SME (“Mittelstand”) companies, as well as multinational companies and their German entities.

His specific industry experience includes the automotive, chemicals, electronics and medical technology industries.

For many years, Karl’s quality of work in corporate law, mergers and acquisitions and dispute resolution has been specially noted in the JUVE Handbook of German Corporate and Commercial Law Firms.

  • Advising a family-owned US industrial investor on its acquisition of major assets of a “Mittelstand” automotive supplier, including post-closing and restructuring matters.
  • Advising a Hong Kong based strategic investor in the acquisition of several German and EU-based entities in the steel and automotive business from a PE Fund. 
  • Representing sellers in a complex post-closing earn-out litigation case.
  • Acting as arbitrator in ad hoc arbitration on earn-out claim.
  • Representing purchaser on post-closing warranty claims.
  • Advising a minority shareholder in pursuing his interests in shareholder meetings; representing the shareholder in related dispute resolution matters.
