MEMO: SEC Rulemaking on Advisory Votes Concerning Executive Compensation and Golden Parachute Arrangements

    On January 25, 2011, the Securities and Exchange Commission (“SEC”) adopted final rules concerning public company shareholder advisory votes on executive compensation and “golden parachute” compensation arrangements as required by the Dodd-Frank Wall Street Reform and Consumer Protection Act (the “Act”). These new rules are the most recent installment of the numerous SEC rule-making actions mandated by the Act.
