A multi-office team of lawyers with Squire, Sanders & Dempsey advised global IT solutions and business information provider Telvent GIT S.A. in connection with Telvent’s agreement to be acquired by global energy management specialist, Schneider Electric.
The transaction is valued at US$2 billion (£1.4 billion) and is expected to close in late 2011, pending approvals by European and US competition authorities.
Corporate lawyer Laura D. Nemeth leads the Squire Sanders team, with lawyers from Spain and the United States, including corporate partners Daniel G. Berick, David A. Zagore, Alan N. Waxman and Fernando Servet, senior associate Juan Romaní, and associate Julia M. Tosi. Antitrust partner Barry A. Pupkin and principal Iain R. McPhie are advising Telvent on competition matters.
“This transaction will significantly expand Telvent’s global reach and we are very pleased to help our longtime client attain this important business goal,” Nemeth said.
Squire Sanders has represented Telvent on several significant transactions including the company’s 2004 landmark listing on Nasdaq. Telvent was the first Spain-based company in history to list an initial public offering on a US stock exchange without also being listed in Spain.
