Michelle is a corporate funds lawyer based in Sydney.

    Michelle’s primary focus is advising clients on their investments in real assets (such as real estate, agriculture and infrastructure assets). In particular, Michelle has advised clients (both onshore and offshore fund managers) on investments through the formation of wholesale investment funds (and other pooled vehicles), joint ventures and capital partnerships, each with a real asset focused investment mandate.

    Michelle has also advised clients on the structure, promotion and operation of private equity funds.

    Michelle’s experience also includes advising institutional investors on their real estate, infrastructure, debt and private equity investments (which have also included fund structures, joint ventures and capital partnerships).

    Michelle spent several years working as a corporate funds lawyer for an international law firm, based in its London office.

    • Advised a European fund manager on the structuring and establishment of a European healthcare fund, an offshore fund with vehicles in Singapore, Luxembourg and Austria, that targets healthcare real assets in Europe.
    • Advised an Australian construction company on the establishment of a joint venture platform with a large Chinese developer to develop and sell Australian commercial property assets.
    • Advised a European private equity firm on the structuring, establishment and operation of an AU$500 million Singapore domiciled joint venture platform (with its cornerstone investor a large Canadian pension fund) investing directly into student accommodation assets in Australia and New Zealand.
    • Advised an Australian agri fund manager on the structuring, establishment and operation of an AU$300 million Australian agriculture fund (with its two cornerstone investors being large German pension funds) investing into Australian agricultural properties focusing on cattle.
    • Advised a US pension fund on the establishment of a strategic joint venture with an Australian listed property group, through which it was proposed the US pension fund would acquire (together with the Australian listed property group) a series of prime grade Australian office assets in the Sydney CBD and Melbourne CBD.
    • Advised an Australian fund manager on the establishment of a strategic partnership with an Australian listed property group investing in Australian commercial assets.
    • Advised a Singapore fund manager on the corporate structure for its purchase of a Brisbane commercial property for AU$160 million, using Sharia-compliant debt and FX hedging facility.
    • Advised an Australian professional trustee on the establishment of the corporate structure (including its appointment as external trustee in the structure) in relation to a Singapore property fund’s purchase of a North Sydney office building for approximately AU$315 million.
    • Advised an Australian fund manager on its co-investment into a Portuguese company (through a Luxembourg structure) that operates wind farms in Portugal.
    • Advised Caisse de Depot et Placement du Quebec (CDPQ) on a long-term partnership agreement with an Indian financial services company, which included target investments by CDPQ of US$600-US$700 million over four years that will be invested in stressed assets and private debt opportunities in India.
    • Advised a UK private equity fund manager on the establishment of its first private equity fund and on its management arrangements.
    • Advised the Trust Company (Sydney Airport) Limited on its role as trustee and responsible entity in the restructure and simplification of the Sydney Airport ASX listed stapled infrastructure fund.
    • Advised an Australian fund manager on a variety of investments in debt, hedge fund of funds and infrastructure funds.
    • Advised a trustee of an Australian superannuation fund on its investments in a European infrastructure fund and a Luxembourg UCITS Global Equities Fund.
    • Advised various trustees of UK pension funds on their equity, bond, currency and real estate investments.
    • Advised the Bank of Montreal on the establishment of its financial services operations in Australia.
    • Advised a number of foreign financial services providers on establishing their financial services operations in Australia.
