Thomas Bruder focuses his practice on public finance, representing issuers, underwriters, direct placement banks and borrowers on tax-exempt and taxable financings, including complex real estate financing transactions, for the benefit of state and local governments, colleges and universities, private schools, charter schools and other nonprofit organizations. He also has extensive experience working on financings for the benefit of water and wastewater facilities and multifamily housing.

    In his capacity as bond counsel and disclosure counsel, Thomas has extensive experience with complex real estate financing transactions, current and advance refundings, master loan agreements, variable and multimodal interest rate structures, lease revenue financings, tax and revenue anticipation notes, certificates of participation and other financing structures.

    Prior to joining the firm, Thomas served as an advisory attorney for the US government, focusing on state and federal accounting, treasury, taxation, financial and related laws and regulations.

    • Bond counsel to city agency in connection with the issuance of more than US$800 million of lease revenue bonds, issued to refinance construction costs of new facilities and costs of previously purchased equipment.
    • Bond counsel to conduit issuer of approximately US$115 million of revenue bonds issued to finance and refinance student housing facilities for university and related borrower.
    • Bank counsel to direct placement banks on more than 70 financings in 2016 and 2017, including financings for city agencies, school districts, community facilities districts, water and wastewater systems, fire protection districts and various nonprofits.
    • Disclosure counsel to state agency in connection with more than US$2.4 billion of lease revenue bonds issued in 2015 through 2017 to finance and refinance a variety of state agency projects.
    • Bond counsel to various California conduit issuers, including financings for numerous California colleges, universities and private schools.
