Carolyn Buller leads our Chemicals Group and is managing partner of the New York office. She has more than 25 years' experience in mergers and acquisitions, securities matters, corporate counseling and corporate governance. She is listed in The Legal 500 US, has been listed in The Best Lawyers in America since 2008 and is recognized as a Top Rated Lawyer in The American Lawyer's "Women Leaders in the Law."

Carolyn regularly leads large, international mergers and acquisitions. She has served as acting general counsel and corporate secretary for a number of companies including leading chemical manufacturers.

Carolyn leads roundtables for general counsels in the chemical and performance materials industry in both the US and Europe. She has also contributed articles to respected publications, including Specialty Chemicals Magazine and CheManager Europe, and has been quoted in notable industry publications, ICIS News and Chemical Week.

  • Advising South Korea's SK Innovation in connection with its acquisition of Dow Chemical’s ethylene acrylic acid business. This divestiture by Dow is a remedy disposal relating to its US$130 billion merger with DuPont.
  • Advising Ashland in connection with the spinoff of its Valvoline business.
  • Advising Olin on international legal matters and integration in connection with its US$5 billion acquisition of Dow Chemical’s Chlorine Products Division.
  • Advising Synthomer in connection with the acquisition of Hexion’s Performance Adhesive and Coatings business.
  • Representing A. Schulman in its acquisition of Citadel Plastics for US$800 million.
  • Representing global chemical company in connection with its US$1 billion bid for FMC’s soda ash business.
  • Representing Ashland in connection with the divestiture of its Elastomer’s business for US$120 million.
  • Advising Ashland in connection with its US$1.8 billion sales of Ashland Water Technologies to a fund managed by Clayton, Dublier & Rice.
  • Advising DDJ Capital Management LLC and Newark Group, Inc. in connection with the disposition of Newark to H.I.G. Capital for US$360 million.
  • Representing Goodyear in the sale of its farm tire business in Latin America and Europe.
  • Assisting Cytec in its takeover of a UK public company.
  • Representing Ashland Inc. in its US$3.3 billion takeover of Hercules Incorporated and related debt financing and senior note offering.
  • Representing a global chemicals company in its €1.2 billion acquisition of a German catalyst and electronic chemical business and related note and equity offerings.
  • Representing a seller in its US$800 million sale of a specialty chemicals business to Umicore.
  • Representing a chemical company in the sale of electronic materials, performance pigments and colors, and glass systems and coatings divisions to a specialty chemical company for approximately US$520 million.
  • Leading acquisitions by a private equity firm with funds of more than US$2 billion under management.
