Lisa Butler practices in commercial and corporate law focusing on energy and resources transactions and projects. Lisa has expertise in acquisitions and divestments, joint venture arrangements, off-take arrangements and risk management associated with exploration and production activities, in Australia, the US and internationally. Her experience includes oil and gas projects (upstream, midstream and downstream) including major LNG projects, power generation and supply projects, hard rock mining and renewables.

    Lisa advises US, Australian and other international clients on cross-border transactions, due diligence, joint ventures, foreign investment and structuring.

    Lisa is a member of the Association of International Petroleum Negotiators (AIPN) and the Australian Mining and Petroleum Law Association (AMPLA).

    Lisa was a finalist for the 2014 Lawyers Weekly “30 Under 30” in Energy and Resources Awards and for the 2013 Women in Resources Outstanding Young Professional Award. Lisa was also the co-founder of the Australian Young Energy Network.

    • Acting for Tokyo Gas Co Ltd, Tokyo Electric Power Co Ltd, Kansai Electric Power Co Ltd, Kyushu Electric Power Co Ltd and Osaka Gas Co Ltd in relation to the acquisition of the equity interests in the US$34 billion Ichthys LNG project from INPEX.“Energy & Resources Deal of the Year” – Asian Legal – Business Japan Awards 2013.
    • Advising TransAlta Corporation on the acquisition of the 125 megawatt dual-fuel Solomon Power Station from FMG Limited for US $300 million.
    • Acting as Australian Counsel for Canadian company Crocodile Gold Corp. of Canada in its AU$101 million acquisition of two mines, Fosterville and Stawell, located in Victoria, Australia.
    • Acting for Nippon Uranium Resources (Australia) Pty Ltd, a then subsidiary of ITOCHU Corporation, to effect an internal corporate restructure to facilitate a tax effective divestment of shareholdings held by Nippon in two mining companies worth over AU$300 million.
    • Advising US company based in Houston on acquisition of Australian business relating to products for the heating, ventilation, air-conditioning, refrigeration, electrical and plumbing markets.
    • Advising private US company on the acquisition of working interests in various oil and gas projects, located in Texas and Wyoming.
    • Advising US company on its acquisition of a controlling interest in a joint venture developing a gold mining project in Latin America.
    • Advising Singapore-based company on establishing US presence and corporate structure in connection with the acquisition of onshore acreage in Louisiana.
    • Advising Mexican company on various gas supply and power purchase arrangements.
    • Acting for Tokyo Gas in relation to its interests in the Gorgon, Pluto and Ichthys LNG Projects.
    • Acting for ITOCHU Minerals & Energy of Australia Pty Ltd in all legal matters pertaining to its interests in the Pilbara iron ore joint ventures in Western Australia.
    • Acting for TransAlta in relation to its electricity generation and supply operations in Western Australia including land access arrangements.
    • Acting for ASX-listed Nido Petroleum Limited on matters related its service contracts and joint ventures in the Philippines, including farmouts, block partitioning and various other transactions.
    • Acting for ASX-listed Otto Energy Limited in its divestments and proposed acquisition of equity interests in offshore oil and gas projects, mutual interest arrangements and service contracts in the Philippines and associated joint ventures.
    • Acting for a large financier in the issue of an AU$80 million secured note to an ASX-listed gold producer including due diligence and conducting third-party consent and completion process in relation to tenements in Western Australia.
    • Acting for Crocodile Gold Corp. of Canada on its AU$51 million acquisition of the Northern Territory gold exploration and production assets of GBS Gold Australia including advising on due diligence, preparation of transaction documents, stamp duty, security arrangements, foreign investment approval, third party negotiations and completion requirements.
    • Acting for ASX-listed Royal Resources Limited on its AU$30 million acquisition of the Razorback iron project in South Australia.
    • Acting for Commonwealth Scientific and Industrial Research Organisation (CSIRO) in relation to proposed geothermal energy project.
    • Conducting due diligence and providing advice in relation to a global engineering and construction company's step up from listing on AIM to the main market of the London Stock Exchange.
