Miguel Cano is an associate specializing in capital markets. He previously served as head of the legal, trust and compliance division for several broker/dealers, and was in charge of managing litigation and providing advice to the treasury department of a global commercial bank in the Dominican Republic. He has more than six years of experience as a banking and capital markets attorney. His work involves advising on monetary and financial regulation, as well as the financial structuring of transactions and instruments. This specialized legal practice generates great value for financial institutions.

    Miguel is a regular professor at one of the leading academic institutions of the Dominican Republic. He instructs courses on subjects such as capital markets and financial institutions, and legal business environment, for the bachelor administration dual degree program, in alliance with a US university. Miguel is also a professor on financial regulation for the Judicial National School of the DR.

    Miguel is a founding member of the Junior Attorneys National Association of the Dominican Republic.

    • Acting as Dominican counsel to Banco Popular Dominicano, The Bank of Nova Scotia and other banking institutions as lenders, and JP Morgan Securities and Scotia Capital as Initial Purchasers, in the refinancing of US$533 million senior secured notes issued by Aeropuertos Dominicanos Siglo XXI, S.A. (Aerodom) through a notes offering under Rule 144 A/Reg S and a syndicate loan. The complex deal involved three separate transactions, including a tender offer of the existing 2012 bond issue; the offering of a US$317 million Senior Secured Notes; and a US$216 million Senior Secured Lending Facility by local and international banking institutions.
    • Assisting in the legal advisory of Grupo Promerica for the acquisition of Citibank’s credit card and consumer banking business in Guatemala, through a secured credit facility provided by a syndicate of international banking institutions in an aggregate amount of US$223 million. 
    • Acting as Dominican counsel to a major US investment bank in the structuring and execution of a senior secured credit financing in an aggregate amount of US$65 million provided to finance the expansion plans of a conglomerate of companies operating in the manufacturing and industrial sector of the Dominican Republic and Puerto Rico. 
    • Acting as Dominican counsel to an international power generation company in the structuring and execution of all the finance project documents and contracts for the construction and operation of a renewable energy power generation facility to produce a total output of 50 MW of energy.  
    • Advising a global financial institution in the structuring of derivative transactions with Dominican financial counterparts and revising the transaction documents to assure conformity of with local regulations. 
    • Assisting in the due diligence process and rendering our opinion with regards to a potential merger between a US financial holding company and a US bank holding company. 
    • Assisting in the legal advisory provided to a Dominican commercial bank with respect to a syndicate financing provided to an international luxury hotel group having with leisure properties in 20 countries.
    • Rendering legal advice on antitrust matters to an international oil and lubricant distributor with business relationships in the Dominican Republic. 
    • Advising global banking institutions with respect to Dominican securities regulation. 
    • Advising Dominican commercial banks and savings and loan thrifts in monetary and financial regulation matters. 
    • Structuring trust services and products oriented for the agricultural, power generation, insurance, construction, and co-operative industry.
    • Structuring financial products and transactions for banks and broker/dealers.
    • Participating in the underwriting of trust units and bills for trust companies and commercial banks.
    • Handling the legal and regulatory compliance issues and requirements for broker/dealers and large heavy equipment dealers in the Dominican Republic.
    • Structuring instruments of private placement for clients located in the Dominican Republic and Canada.
    • Managing all litigation cases for a global commercial bank in the Dominican Republic.
