Dan Crayford is an associate in our Real Estate team based in Manchester. Dan specialises in general non-contentious commercial project work, construction and procurement. Dan has extensive experience in advising clients in the public and quasi-public sectors (predominantly local authorities and registered providers of social housing) on a variety of projects, including development and regeneration, finance, transport and renewable energy schemes.

    • Negotiated the build contract, professional team appointments, novation agreements and related warranties for the £3 million reinstatement of a flood-damaged commercial retail property in West Yorkshire, funded by insurers.
    • Provided initial procurement advice and negotiated an overarching development services agreement for the back-to-back acquisition of a brownfield site in Manchester for a sum of £590,000 and the development of between 12 and 14 mixed-use (social, affordable rent and shared ownership) residential units within defined “acceptable planning permission” parameters under a build contract worth in excess of £1.5 million for a registered provider of social housing, funded in part with Homes England funding. Included drafting and negotiating the build contract, professional appointments, novation documents and collateral warranties.
    • Advised a joint venture on the acquisition of multiple sites and the procurement of works to construct or refurbish supported living units with agreements to lease to housing associations and intended for sale to private investors. Included drafting template build contracts, professional appointments, collateral warranties and ancillary bond and guarantee documents.
    • Advised a large housing association in the North East on the formation of development and VAT subsidiaries to be used in expanding and diversifying its for-profit development activities. Included reporting to board meetings by telephone, drafting constitutional and governance documents for the two subsidiaries, company formation, providing Teckal procurement advice, drafting an intra-group funding agreement and an intra-group development agreement, and training materials used to train the board on the governance and other aspects of using the subsidiaries.
    • Advised both a parent and subsidiary housing association on their transfer of engagements under the Co-operative and Community Benefit Societies Act 2014.
    • Advised an LSVT housing association on its conversion from private limited company to community benefit society status.
    • Provided written and in-person advice to the contracting authority status members of a large development framework in the North West in relation to the application of the Public Contracts Regulations 2015, in particular in relation to land plus works package deals in light of the Court of Appeal’s 2018 decision in Faraday v West Berkshire Council.
    • Assisted in negotiating a business transfer agreement for the acquisition of a portfolio of more than 400 residential units for a sum of £15.7 million for a large housing association, including negotiating a securitised note purchase agreement to fund the acquisition.
    • Assisted in advising a housing association and its for-profit subsidiary in relation to documents required on a large-scale, multiphase solar PV scheme involving its existing housing stock.
    • Assisted in conducting due diligence on behalf of a housing association in its amalgamation with another housing association under the Co-operative and Community Benefit Societies Act 2014.
    • Assisted in negotiating a £30 million extension to a £105 million revolving credit facility for a housing association to a total revolving credit facility.
    • Assisted with the drafting and procurement of a repairs and maintenance framework agreement with an estimated value in excess of £54 million for a national housing association.
    • Advised a local authority in the North West on the procurement and drafting of a £22 million framework agreement for transportation and public realm consultancy services, for use by that local authority and neighbouring authorities.
    • Advising on the non-contentious procurement, construction and finance aspects of a range of development projects, predominantly acting for housing associations and other public bodies.
