Patrick J. Fields
Of Counsel
Patrick Fields has been a member of the firm’s corporate, financial services and international trade groups since joining the firm in 1982.
Patrick represents clients in regulatory and lending matters for offices of non-US-based banks and other lenders in California and assists clients in commercial matters including secured transactions, distribution and other agreements. He has also worked with clients on antidumping, customs, local tax issues, acquisitions and joint ventures, including cross-border transactions, and other business matters.
Patrick is a member of the American Bar Association’s Business Law Section and the State Bar of California’s Real Estate Law Section.
- Assisting non-US-based banks establishing offices in the United States with state and federal approval application processes including the first approval under the federal comprehensive supervision and regulation on a consolidated basis standard.
- Establishing new subsidiary banks in California for bank clients.
- Counseling clients on compliance with federal and state financial regulatory issues.
- Performing due diligence for and negotiating and documenting real estate secured loans and personal property secured loans for lender clients.
- Assisting clients with regulatory compliance issues in cross-border mergers, acquisitions and asset transactions.
- Negotiating workouts of troubled loans on behalf of numerous clients, from both lender and borrower perspectives.
- Counseling on stock and asset purchase and sale transactions.
- Assisting clients engaged in the money transmission business.
- Assisting clients in commercial transactions, particularly as to distribution of goods and extending trade credit, on secured or unsecured terms.
- Advising on issuance of commercial paper, supported by bank letters of credit.
