Irina Golovanova focuses her practice on trade and corporate matters in Russia and the CIS. She advises clients on matters of Russian law and practice, particularly in the areas of securities regulation, corporate structuring, assets acquisition and labor issues.

    Irina’s work includes purchase and sales of assets and securities, creation of joint ventures and privatization in the CIS. Among other projects, she has represented clients in projects related to oil and gas exploration and production agreements and structuring and restructuring equity and debt investments in agricultural, precious metals, oil and gas, media and telecommunications ventures. In addition to representing US and other Western investors in Russia, Irina has been extensively involved in representing Russia-based energy sector enterprises and financial institutions.

    Irina’s work includes negotiating and drafting sale and purchase agreements, shareholders’ agreements, lease agreements, and construction management and development services agreements; negotiating and drafting agreements and charters for joint ventures, joint stock companies, limited liability companies, partnerships and nonprofit organizations; corporate due diligence, review and preparation of various memoranda; conducting legal risk analysis; and advising on and preparing documentation for corporate housekeeping matters for joint ventures and other Russia-based companies, including preparation of a corporate procedures and recordkeeping manual in Russian and English. She also has extensive experience and legal expertise in mining projects in Mongolia.

    • Preparing tender documents for a client’s participation in a tender to purchase a large bank in Asia.
    • Participating in extensive due diligence of a large airport in Moscow.
    • Arranging for the liquidation of a representative office of a large Western company with subsequent transfer of employees to its Russian subsidiary; work included participation in collective bargaining and labor dispute resolution.
    • Counseling a client on a major investment tender in Turkey in connection with a joint venture in the energy industry.
    • Acting as a team leader in performing due diligence, negotiating and drafting a sale and purchase agreement for acquisition of a grain elevator in southern Russia.
    • Acting as a team leader in performing due diligence on the acquisition of a port on the Don River that was completed in stages as the facilities were put into use; the transaction involved drafting of side agreements to enable supervision of the construction, sell-back rights, and obtaining control over port operating licenses.
    • Assisting with negotiations related to settling a dispute regarding breach of representations and warranties in connection with a large agribusiness acquisition.
    • Consulting with a major non-Russia-based investor on issues related to concluding an investment agreement for the construction of a building in Moscow.
    • Performing due diligence and drafting a share purchase agreement (SPA) and shareholders’ agreement in connection with a controlling-stake acquisition of a major hotel in Moscow.
    • Drafting construction management agreements for large investments in construction projects in Moscow, the former Leningrad region and Novosibirsk.
    • Providing full legal support of a sale of a large forestry complex in Siberia including both operating facilities and a camp fully integrated into the operations, yet autonomous in infrastructure and logistics.
    • Representing a major telecommunications company in connection with a lease transaction.
    • Structuring a transaction for creation of a major engineering holding.
    • Acting as a team leader performing due diligence on construction of an oil refinery in Mongolia and in conducting negotiations with investors.
    • Acting as a team leader performing due diligence on one of the major gold producers in Mongolia.
    • Providing a legal analysis of Stages I and II of the reorganization of RAO-Unified Energy Systems (RAO-UES).
    • Acting as a team leader performing due diligence for one of the major producers of construction cranes in the Ural region, drafting a shareholders’ agreement and SPA for the project.
    • Representing a Russian investor in international arbitration regarding his mining projects in Mongolia.
