Massimo Galli focuses on cross-border corporate finance and M&A transactions, acting for (i) issuers and underwriters on international equity and debt capital markets offerings and other private placements; (ii) investors and target companies in cross-border M&A and private equity investments or exits; and (iii) borrowers and lenders in international project finance and leveraged finance transactions.

Between 2003 and 2007, Massimo was in-house counsel at the European Bank for Reconstruction and Development (EBRD), assisting in the structuring, execution, management or exit of EBRD’s equity and debt financings across CEE and Central Asia.

Between 2001 and 2003, Massimo was based in the Singapore office of a major US law firm, and involved in capital markets and M&A transactions across south-east Asia and the Pacific region, including India, Hong Kong and Australia.

Massimo has also worked in Milan and New York and his track record covers transactions in North Africa and the Middle East.

As a result, Massimo has gained significant expertise in transactional work in emerging markets and cross-border work at large.

A significant focus of Massimo’s activities is on assisting (i) Italian companies accessing the international capital markets or structuring and executing their foreign investments or (ii) foreign investors in structuring executing and managing their investments in Italy.

Capital Markets

  • Acting as US and English law counsel to Rai Way and its parent and selling shareholder Rai – Radiotelevisione italiana in connection with the €280 million initial public offering of Rai Way on Italy’s MTA with an international institutional offer pursuant to Rule 144A and Regulation S (November 2014).
  • Acting as US counsel to Immobiliare Grande Distribuzione SIIQ SpA in the private placement to US investors of rights in connection with a €200 million capital increase (October 2014).
  • Acting as US law counsel for Newron, F2i – Fondi Italiani per le Infrastrutture, Fondo Strategico Italiano, RCS Mediagroup and Mondadori in connection with various private placements of securities (2014).

Project and Leveraged Finance

  • Advising ADB, DEG and EBRD on Phase II and Phase III of the financing of the passenger terminal of the international airport of Zvartnots (Yerevan, Armenia).
  • Advising EBRD on various project finance and bank finance transactions across CEE and Northern Africa.
  • Advising the sponsor in the financing of an oil storage facility in Ghana.
  • Advising various lenders and borrowers on the structuring and execution of leveraged finance structures in Italy and across CEE.

M&A and Private Equity

  • Advising various Italian corporates on the acquisition of companies and assets across Europe, CEE and Asia.
  • Advising various PE funds on the acquisition and disposal of investments across Europe and CEE
  • Advising EBRD on various equity investments, the subsequent management thereof, and eventual exits, in various industrial sectors (financial services; transportation; infrastructure; agribusiness; commercial real estate) across Europe, CEE and Asia
