Dylan Hoyne is an associate in our Corporate Practice, with experience advising on mergers, acquisitions and divestments, joint ventures and other corporate structuring transactions, commercial contracts and corporate governance matters.

Dylan’s experience includes acting on a number of mergers and acquisitions, fundraisings, mining project development and procurement agreements, and commodities offtake agreements. Dylan assists publicly listed companies with corporate governance and secretarial matters, such ASX Listing Rules companies, continuous disclosure requirements and board meetings.

Dylan also has particular experience acting for clients operating in the Australian resources sector, having advised a number of ASX-listed mining companies on tenure issues, royalties, tenement acquisitions, joint ventures, earn-in/farm-in arrangements and strategic operational matters.

  • Assisting an Australian iron ore miner with:
    • The structuring, negotiation and implementation of a multibillion-dollar mining and infrastructure project. This included negotiating various joint venture arrangements, funding structures, sales and marketing arrangements, and logistics structures.
    • The long-term global procurement of autonomous mining equipment, support and maintenance services.
    • Corporate governance and secretarial matters, including preparing board mandates and papers, including regularly attending board meetings.
  • Assisting a lithium miner with all aspects of its lithium project, from exploration to operations, including securing and protecting tenure; negotiating offtake arrangements with US- and Asia Pacific-based buyers; and negotiating and structuring strategic partnerships and investments with downstream processors.
  • Advising an iron ore miner on all aspects of its project in Western Australia’s Pilbara region, including state agreement matters, tenure issues and the development of an off-grid solar farm to power various mining assets at the project.
  • Advising an ASX-listed industrials conglomerate on the negotiation and documentation of long-term ammonium nitrate and green ammonia offtake agreements.
  • Advising a US lithium miner on its acquisition of a US$1.15 billion stake in a lithium project in the Pilbara region.
  • Providing strategic advice to an ASX-listed gold mining company regarding the sale of its project in Western Australia’s Goldfields region and subsequent proceedings before the Western Australia Warden’s Court regarding plaints lodged over the relevant mining tenements.
  • Advising an ASX-listed gold and base metals mining company on its joint venture and alliance arrangements with another mining exploration and development company.
  • Providing ongoing operational advice to, and preparing key agreements for, a gold mining company with operations in Western Australia’s Goldfields region.
