Mergers and Acquisitions
In the area of mergers and acquisitions, Shinichiro has experience in asset, stock and membership interest purchase agreements.
With financings he has handled venture capital, angel, equity, bridge and debt financings; stock purchase, voting, ROFR and co-sale and investor rights agreements; promissory notes and note purchase agreements; and Islamic financing, including Shari’ah compliant transactions.
He also has experience with commercial contracts, including distribution, marketing, settlement, supply, purchase, non-disclosure, lease and consulting agreements.
Corporate Governance and General Counsel
He has dealt with the formation and dissolution of corporations, LLCs, LPs and nonprofit entities, as well as stock option plans, federal and state securities laws compliance, and regulatory compliance (ITAR/EAR/OFAC, FDA/CDPH, BEA, FCPA, and HSR), and board minutes and resolutions. He is also familiar with the rights and remedies of debtors and creditors in bankruptcies and assignments for benefit of creditors.
Intellectual Property and Data Privacy
Shinichiro has been involved with intellectual property matters, including US trademark prosecution; software, trademark, patent and other license agreements; software-as-a-service agreements; and joint development and other R&D agreements. He has knowledge of compliance with US data security and privacy laws, website privacy policies and terms and conditions.
Shinichiro also has experience on dealing with insolvency proceedings, particularly in relation to the rights and remedies of debtors and creditors in bankruptcies and assignments for the benefit of creditors.
