Melissa Kwek’s practice focuses on projects, merger and acquisitions and cross-border corporate transactions. She has extensive experience as a business and transactional lawyer and has acted for government agencies, multinational companies and other corporate clients across a wide range of industry sectors.

    Melissa returned to us after serving as in-house counsel in the downstream business of one of the world’s largest oil companies.

    • Advised a multinational Dutch company, one of the world’s leading independent tank storage providers, in the divestment of its 20,160 cbm chemicals terminal in Malaysia via a sale of its 100%-equity interest in a Malaysian subsidiary.
    • Advised a Malaysian integrated engineering solutions provider company in the acquisition of a marine safety equipment MRO business in Australia, Singapore and the United Arab Emirates.
    • Advised a Singapore government-linked investment entity in its acquisition of a stake in Thailand-based entities which owned and operated hospitals in various countries including Thailand and Philippines.
    • Advised a Singapore government-linked investment entity in its acquisition of shares in a leading healthcare solution specialist in the Asia Pacific region.
    • Advised a listed Hong Kong consumer electrical appliances manufacturer in connection with its investment in a Singapore payment services company by way of subscription of convertible and nonconvertible notes through a due diligence exercise on the company

    Corporate/Commercial

    • Advised a Singapore listed company, one of Asia-Pacific’s leading oil and gas infrastructure services companies, in a joint venture to undertake the EPC of a 945,000 cbm storage terminal in Indonesia.
    • Advised a Singapore listed company, one of Asia-Pacific’s leading oil and gas infrastructure services companies, in a joint venture to construct and operate floating oil tanking storage terminals in Indonesia.
    • Advised a US company in a contractual joint venture to undertake projects in Indonesia related to management, marine research, consulting and construction.
    • Advised a Singapore listed company, one of Asia-Pacific’s leading oil and gas infrastructure services companies, in a joint venture to undertake a crane leasing business in Saudi Arabia.

    Energy

    • Advised the Korea Development Bank in a potential project financing of a waste to energy project in Sri Lanka through a due diligence exercise conducted on the project.
    • Advised a Singapore sponsor in a joint venture to undertake a power generation business in Nigeria.
    • Advised First Solar Inc. on the greenfield development of a 2000MW solar power project in Inner Mongolia, China.
    • Advised Asiatic Group (Holdings) Limited in a US$20 million syndicated loan for the construction and operation of a 20MW power project in the Phnom Penh Special Economic Zone, Cambodia.

    Public-Private Partnerships

    • Advising Singapore Public Utilities Board on Singapore’s fifth desalination project, the Jurong Island Desalination Plan.
    • Advised the Singapore Public Utilities Board on the Changi NEWater 2 PPP project which involved the development, construction and operation of a NEWater wastewater treatment plant on the rooftop of an existing water reclamation facility.
    • Advised the Singapore Public Utilities Board on the second Tuas seawater desalination PPP project which involved the development, construction and operation of a desalination plant in Tuas.
    • Advised the Singapore National Environment Agency on a feasibility study of a bottom-ash recycling PPP project.
    • Advising Singapore Defence Ministry on its second defence PPP project relating to a long-term supply of training fighter aircraft and pilot training programme.
    • Advising the Singapore Defense Ministry on its third defense PPP project which involved the development, construction and operation of a multi-use firing range and range training.
    • Advising a bidder in connection with the Singapore Changi Motorsports Hub project which involved the development, construction and operation of a multi-use racing track, motor-themed entertainment complex, retail and leisure facilities, racing academy, motor museum and warehousing facilities.
