Natalie Lonergan is an Energy and Infrastructure partner based in our Sydney office. She has more than 25 years’ experience advising clients in the international energy sector on acquisitions and divestments, joint venture structuring and related issues, project development, offtake (including gas and LNG sale, tolling and transportation), gas marketing, construction and procurement and capital raising across upstream and downstream oil and gas and renewable energy assets.

    Natalie’s clients include both publicly listed and private companies who operate throughout the full project cycle of an energy project.

    Oil and Gas

    • Advised Shandong Order Gas Co., Ltd on the acquisition of interests in the Denison Trough Petroleum project from APLNG and Santos and the development of the Westgrove 9 Project for AU$180 million in a joint venture with APLNG and on the marketing and sale of long-term gas sale and purchase agreements.
    • Advised Southernpec Corporation on the acquisition of interests and royalties in the Kincora Petroleum project from Santos QNT Pty Ltd.
    • Advised a consortium of Chinese Private Equity companies on the acquisition of 48% of the issued share capital of Pilot Energy Limited.
    • Advising Pilot Energy on the acquisition of WA-481-P from Key Petroleum Limited.
    • Advising Pilot Energy on its merger with Royal Energy Pty Ltd.
    • Advised Oil Search Limited in relation to the development and operation of its offshore PNG projects.
    • Advised Luco Energy Pty Ltd on the acquisition of Cypress Petroleum Pty Ltd from Tag Oil.
    • Advised an international oil and gas company on its interest in the North west Shelf Joint Venture.
    • Advised Australian Oil and Gas Limited in relation to the farmout of its Wiso Basin assets to Blue Energy Limited.
    • Advised Pangaea Resources NL on the development of its Beetaloo basin gas project and on the farmout of an interest in the project to American Energy Partners.
    • Advised Roc Oil in relation to the acquisition of its 30% participating interest in the D35/D21/J4 PSC in offshore Sarawak (Malaysia).
    • Advised Oil Search Limited in relation to the development and operation of its offshore PNG projects.
    • Advised OMV AG in relation to exploration in Kurdistan petroleum tenures.
    • Advised an Australian oil and gas company in relation to acquisition of its interests in PNGLNG.Advised Denison Gas on various capital raisings totaling AU$85 million.
    • Advised Denison Gas on gas sales agreements with various buyers in SE Queensland.
    • Advising Pilot Energy on a placement and underwritten rights issue.

    LNG

    • Advised a Chinese Consortium on the structuring and development of an LNG Trading company and the trade of two cargoes of LNG.
    • Advised an international oil and gas company on the acquisition of an interest in QLD Curtis LNG Project for US$1.93 billion and on the sale of liquefied natural gas pursuant to a long-term LNG sale agreement.
    • Advised an international oil and gas company on a synthetic infrastructure tolling arrangement to enable reduction of debt, but retention of joint venture rights and asset ownership on their interests in a LNG project.
    • Advised an international oil and gas company in relation to the negotiation of foundation agreements for the (now delayed) development of Papua LNG.
    • Advised an Australian oil and gas company on the sale of interests in Gladstone LNG.
    • Advised an international oil and gas company on the sale of LNG from Gorgon LNG and minority interests in Gorgon LNG to Osaka Gas and Tokyo Gas.
    • Advised both sellers and buyers in connection with various long-term and spot LNG sale and purchase agreements.
    • Advised a Chinese SOE owned LNG receiving terminal in connection with the structuring and negotiation of its long-term terminal capacity agreements and associated project documents.

    Renewables

    • Advising Pilot Energy Limited on the development of a 1.1GW offshore wind project and solar project in the mid-west region of Western Australia. The pre-feasibility work includes the sale or farmdown of existing petroleum tenements, the regulatory applications for multipurposing existing offshore oil and gas infrastructure, capital raising and negotiating joint ventures with infrastructure partners.
    • Advising a joint venture of International oil and gas companies on the development of a green hydrogen project in Western Australia.

    Infrastructure

    • Advised OMV AG in relation to the development of the Central European Gas Hub AG (Baumgarten gas storage and gas trading hub).
    • Advised AGL Limited in relation to the development and operations of its Silver Springs underground Gas Storage facility and development of the associated gas project.
    • Advising Pilot Energy on a carbon capture and storage project in Western Australia.
