Natalie Lonergan is an energy lawyer with more than 30 years of international specialist experience advising on project structuring, acquisitions and divestments, joint ventures, project development, operational agreements and revenue stream agreements across oil and gas, liquefied natural gas (LNG) and renewable and transitional energy assets, including upstream and downstream petroleum assets, domestic gas and export LNG, renewable energy (offshore and onshore wind and solar) and energy transition assets (carbon capture and storage (CCS), carbon capture utilisation and storage (CCUS), hydrogen, ammonia and synthetic fuels).

Oil and Gas

  • Assisting a trader with due diligence of the Manora, Jasmine, NongYao and Wassana fields to support its entry into a long-term sale and purchase agreement from these fields and associated prepayment to Valeura Inc.
  • Advising PZE Limited on a gas aggregation project comprising the acquisition of a gas processing and storage facility, gas trading hub, pipelines and gas production licences from AGL Limited; on the acquisition of interests in the Waldegrave gas project from Armour Energy Limited and Southernpec (Australia) Limited; on a gas access and tolling arrangement through a third-party gas processing and pipeline infrastructure; and the development of a natural gas to blue hydrogen and CCS project in the Surat Basin, Australia.
  • Advised Denison Gas Limited and Shandong Order Gas Co. Ltd on the acquisition of interests in the Denison Trough Petroleum project from Australia Pacific LNG (APLNG) and Santos and the development of the Westgrove 9 project for AU$180 million, including tolling arrangements through gas processing and pipelines infrastructure and on the marketing and sale of long-term gas sale and purchase (Surat Basin, Australia).
  • Preparing legal due diligence report to support Denison Gas Limited on its proposed listing on the Singapore Stock Exchange.
  • Advising PZE Limited on its proposed listing on the Australian Securities Exchange (ASX).
  • Prepared legal due diligence report to support Omega Oil & Gas Limited on its listing on the ASX.
  • Prepared legal due diligence report to support Tamboran Resources Limited on its listing on the ASX.
  • Advised an Australian gas company on the acquisition of interests in the Cliff Head oil and gas project, including petroleum tenures and offshore and onshore infrastructure.
  • Advised an Australian gas company on its acquisition of Royal Energy Limited.
  • Advised an Australian gas company on the acquisition of Cypress Energy Pty Ltd from Tag Oil Limited.
  • Advised an Australian energy supplier on the sale of its conventional upstream oil and gas business Lattice Energy to Beach Energy for AU$1.585 billion.
  • Advised a Chinese gas company on the acquisition of interests and royalties in the Kincora Petroleum project from Santos QNT Pty Ltd.
  • Advised an Australian gas company in relation to the farmout of its Wiso Basin assets to Blue Energy Limited.
  • Advised an Australian gas company on the development of its Beetaloo basin gas project and on the farmout of an interest in the project to American Energy Partners.
  • Advised an international oil and gas company in relation to various upstream agreements in relation to the Elk and Antelope gas fields.
  • Advised an Australian listed company in relation to the regulatory approvals and drilling services and rig agreements for its three-well offshore Papua New Guinea drilling program.
  • Advised a Chinese company on due diligence of the proposed Western LNG project (Elevala, Ketu and Tingghu gas fields) in Papua New Guinea.
  • Advised Roc Oil in relation to the acquisition of its 30% participating interest in the D35/D21/J4 PSC in offshore Sarawak (Malaysia).

LNG

  • Advised an LNG trading company in connection with procurement of LNG via various spot LNG sale and purchase agreements from Qatargas.
  • Advised an LNG trading company on a due diligence on the Driftwood LNG project.
  • Advised an LNG trading company on various procurements of LNG from Sabine Pass and Cameron LNG.
  • Advising a Japanese shipping company on the sale of 50% interests and the associated joint venture agreements on seven LNG floating storage units (FSUs) to be chartered to subsidiaries of Qatargas in relation to the North Field Expansion Project.
  • Advised a Japanese shipping company on the sale of 50% interests and the associated joint venture agreements on six LNG carriers to be chartered to subsidiaries of China National Offshore Oil Corporation (CNOOC).
  • Advised a Japanese shipping company on the sale of interests and the associated joint venture agreements on six LNG carriers to be chartered to support the Arctic II project.
  • Advised a Japanese shipping company on the sale of 50% interest in a holding company of the Arc 7 icebreaking condensate tanker and entry into a joint venture agreement with a subsidiary of COSCO.
  • Advised a Japanese shipping company on the acquisition of interests and the associated joint venture agreements with GTLK Asia Limited in relation to the acquisition of LNG FSUs to support an LNG trans-shipment project located near the port of Murmansk.
  • Advised a consortium of Chinese companies in relation to tolling and access arrangements through an LNG receiving and regasification terminal at Tianjin port.
  • Advised an international oil and gas company in relation to regulatory approvals and the negotiation of foundation agreements for the development of Papua LNG, including the gas agreement with the PNG government and the joint operating agreements.
  • Advised an Australian listed company on the acquisition of an interest in PNG LNG.
  • Advised on the development of the Gladstone LNG plant at Curtis Island, including joint venture agreements, LNG and gas sales agreements, supply and gas transportation (pipeline connection) agreements and various upstream agreements (seismic, drilling and other oil field services contracts), and sale of equity interests and LNG to KOGAS and Petronas (Surat Basin, Australia).
  • Advised CNOOC on the acquisition of an interest in the Queensland Curtis LNG project for US$1.93 billion and on the sale of LNG pursuant to a long-term LNG sale agreement.

CCS/CCUS

  • Advising in relation to the MidWest CCS and blue hydrogen and ammonia project located in Western Australia. We have advised on the regulatory applications associated with the injection licence and the pipeline conversion, commercial arrangements for future decommissioning obligations and the project joint operating agreement, tolling and access and other foundation agreements
  • Advising PZE Limited on the development of a carbon abatement business, including regulatory applications to obtain CCS licences and negotiation of tolling arrangements to enable use of third-party infrastructure.

Renewables/Hydrogen/Ammonia

  • Advising Subsea7 on joint venture structuring and application for a feasibility licence in connection with the development of wind projects in the offshore Hunter and offshore Illawarra Renewable Energy Zones.
  • Advising an ASX listed energy company on the development of a 1.1GW offshore and onshore wind and solar and hydrogen and ammonia project in the midwest region of Western Australia. The pre-feasibility work includes the sale or farm-down of existing petroleum tenements, the regulatory applications for multi-purposing existing offshore oil and gas infrastructure, capital raising and negotiating joint ventures with infrastructure partners.
  • Advised an ASX listed energy company on the acquisition of the Spring solar project.
  • Advising an energy producer on the corporate and joint venture structuring, regulatory applications, access arrangements, equity capital raising and procurement support required for the development of a number of integrated solar, biomass and green hydrogen projects to support a proposed hydrogen refuelling network across eastern Australia.
