Fiona Meaton practices principally in commercial and corporate law with a focus on energy and resources transactions and projects. 

    In particular Fiona advises Australian and international clients in relation to joint venture arrangements, acquisitions, risk management and due diligence associated with exploration and production activities within Australia. She also advises on corporate law and corporate governance issues, in particular in relation to Corporations Act compliance and ASX Listing Rules. Fiona is the Perth head of the Australian Young Energy Network and a member of the Australian Institute of Energy Young Energy Professionals and the Australian Mining and Petroleum Law Association (AMPLA).

    • Advising an Australian subsidiary of TransAlta Corporation in regards to a project to build, own and operate a 150 MW combined cycle gas power station in South Hedland, Western Australia. In particular Fiona advised on the negotiation and entry into two long term power purchase agreements with Horizon Power, a state owned utility, and The Pilbara Infrastructure Pty Ltd, a wholly owned subsidiary of Fortescue Metals Group for electricity generated from the facility. The transaction also included the negotiation of several other project documents supporting the development and operation phases of the project.
    • Assisting Tokyo Gas Co Ltd of Japan and its Australian subsidiaries in relation to its LNG operations in Western Australia, including the Ichthys, Pluto and Gorgon LNG Projects. Included providing ongoing advice in relation to matters arising under key project and joint venture documents, and corporate governance related issues, 
    • Advising an Australian subsidiary of TransAlta Corporation in regards to its negotiation and entry into an unincorporated joint venture with DBP Development Group (a wholly owned subsidiary of DUET Group) and the joint venture’s subsequent entry into a development agreement and a gas transportation agreement with Fortescue Metals Group to design, construct, own and operate a AU$178 million natural gas pipeline from the Dampier to Bunbury Natural Gas Pipeline to TransAlta’s 125 MW dual-fuel power station at Fortescue Metals Group’s Solomon Hub. 
    • Advising subsidiaries of Itochu Corporation and Mitsui & Co. Limited on their combined AU$1.5 billion acquisition of a respective 8% and 7% interest in BHP Billiton’s Jimblebar iron ore mine, by way of an incorporated joint venture structure. The transaction included the negotiation of an initial subscription agreement, various governance documents for the management of the joint venture company going forward, including a shareholders agreement, a constitution, various finance policies, a management agreement and an ore sales agreement. 
    • Acting for Fitzroy River Corporation Limited in relation to its royalty interests in onshore petroleum titles in the Canning Basin. 
    • Advised TransAlta Corporation on the acquisition of the 125 MW dual-fuel Solomon Power Station from FMG Limited for US$300 million and an associated long-term power purchase agreement for the supply of power to FMG’s iron ore mining operations in Western Australia. 
    • Assisting ITOCHU Corporation of Japan and its subsidiary Itochu Minerals & Energy of Australia Pty Limited in state agreements affecting their iron ore joint ventures in Western Australia. 
    • Assisting Itochu Minerals & Energy of Australia Pty Ltd in all legal matters pertaining to its iron ore interests in Western Australia. 
    • Assisting Rio Tinto subsidiary Argyle Diamonds Limited with respect to its pink diamonds tender process. 
    • Assisting a large financier in the issue of an AU$80 million secured note to an ASX-listed gold producer including due diligence and conducting third-party consent and completion process in relation to tenements in Western Australia. 
    • Assisting TransAlta Energy (Australia) Pty Ltd in its electricity generation and supply operations in Western Australia. 
    • Conducting due diligence and associated advice in relation to a global engineering and construction company’s step up from listing on AIM to the main market of the London Stock Exchange. 
    • Providing general corporate law and corporate governance advice to various ASX-listed companies. 
    • Providing compliance advice in relation to recently introduced legislation such as the clean energy legislation (Carbon Tax) and the Personal Properties Securities Act 2009 (Cth).
