Anastasia Melnikova focuses her practice on general corporate, migration and employment-related issues of domestic and international companies operating in the Russian Federation.

    Anastasia has more than six years' experience in all aspects of corporate, business immigration and employment law in a variety of sectors including telecommunications, retail, media, marketing and communications, and service sectors. She has particular expertise advising on the problematic issues involving the overlap between migration and employment law. Her migration work involves counseling top executives, managers, engineers and other technical and professionals, and their families. She has accumulated a vast experience in all aspects of setting up a business presence in Russia, the structuring of labor and employment relations and immigration matters with particular focus on non-Russian nationals working for international corporations.

    • Regularly counseling Russian and foreign clients on labor and migration-related issues including hiring and discharging employees, obtaining work permits for foreign nationals and drafting employment contracts for both foreign and Russian nationals.
    • Conducting due diligence on a major Russian recruitment and outsourcing group of companies employing over 16,000 employees in connection with a proposed investment project; reviewing employment agreements, internal labor regulations and staff hiring structures used by the group company for compliance with applicable laws, and providing recommendations on minimizing employment related risks.
    • Conducting employment due diligence on (i) group of companies, specializing in medical laboratory diagnostics and employing approximately 575 staff; (ii) a large independent Russian chemical manufacturer of mineral fertilizers; (iii) a leading provider in Russia and Ukraine of software products and equipment for fleet and other card systems, employing about 325 people in Russia; and (iv) a leading producer of milk products and infant food in Russia, Belorussia, Ukraine and Kazakhstan, employing approximately 530 people in Russia.
    • Advising a global mobile satellite communications company on revising its global corporate policies to comply with Russian labor regulations and to ensure local enforceability.
    • Counseling one of the largest steelmaking companies in the world on a host of labor issues including dismissals and appointments, compensation, and restricting authorities of officers.


    • Advising clients on mitigation strategies when violations of immigration legislation are discovered or alleged during audits conducted by state migration authorities.
    • Carrying out proactive compliance audits for clients.
    • Assisting a world leader in furnace refractory maintenance services with obtaining multiple business visa invitations for technical specialists from European countries and India; advising on the status of expatriates in Russia, assisting with obtaining long term work visas and work permits for highly qualified specialists.
    • Advising i) one of the largest steelmaking companies; ii) one of the largest coffee companies in the world: and iii) a global supplier of paints, coatings, optical products, chemicals, and glass on all possible issues relating to legalization of foreign employees and their family members in Russia, support with all required procedures and approvals, including the receipt of work permits, work visas, permissions to hire foreign employees, temporary residence permits, migration registration, etc. within the shortest time possible; advising on expatriate employment and dismissal procedures.
    • Assisting i) a leading diversified power management company providing energy efficient solutions for electrical, hydraulic and mechanical management; and ii) an American company specializing in video and audio production technology with accreditation of the expatriate employees of Russian representative offices; obtaining work permits and visas; drafting of migration-related provisions in contracts.

    Corporate and M&A

    • Advising clients on procedural issues involving registration, creation and liquidation of companies in Russia including entities with foreign investment, as well as the accreditation and closing of representative and branch offices of foreign companies owing to termination of their activities in Russia.
    • Regularly advising clients on general corporate law matters in the day-to-day activities of companies in Russia, maintaining corporate documents of clients, such as drafting the minutes of shareholders’ general meetings and constitutional documents.
    • Providing full legal support for transactions involving the sale and purchase of participatory interests in the charter capital of limited liability companies including drafting and executing sale and purchase agreements, preparing closing documents.
    • Advising owners of a leading non-banking credit organization on corporate and regulatory matters, a mandatory offer procedure and a squeeze-out, including its disclosure letter and closing documents in connection with the divestiture plan.
    • Preparing due diligence report in connection with a building and a land plot in Rostov-on-Don purchased during a public auction procedure; analyze the legal aspects of property sale during a winding-up proceeding.
    • Preparing model non-disclosure agreements for a large real estate development company with agents, purchasers and vendors.
    • Advising a world’s leading steel and mining company on establishment of legal entities in Russia, regulatory and compliance issues.
    • Drafting agreements with subscribers and agency agreements for provision of mobile communication services in connection with the commencement of operations in Russia by a large telecommunication company.
    • Advising a Russian investment company in connection with restructuring a group of companies and providing of financing, including drafting loan agreements, providing full legal support with regards to sale of participatory interests in Russian LLCs.
