Seiji Miwa focuses his practice on antitrust laws, general corporate matters and litigation. His experience includes antitrust related matters such as an international cartel investigation case involving the US, Japan, Europe and Korea antitrust regulatory authorities, filing of leniency application by foreign companies in relation to an international cartel, advice on merger clearance, cross-border M&A transaction and litigation proceedings in the US, Japan and Europe.

    In 2012, Seiji moved to the US to attend the University of Southern California School of Law and completed his LL.M. in 2013. He spent one year working in the Washington DC office of Squire Patton Boggs before returning to the Tokyo office in August 2014.

    • Representing an international software company in matters including reviewing contracts with customers and subcontractors on a daily basis. 
    • Representing one of the largest global distributors of electronic components, computer products and embedded technology in its purchasing shares of a Japanese listed company through a TOB to acquire control of the company and create a wholly-owned subsidiary. 
    • Representing a NYSE-listed global company in a dispute with the former managers of a Japan-based company to whom they had paid a considerable amount of money in exchange for stock. Representation included a wide range of legal advice dealing with, for example, shareholders’ agreements, stock subscription agreements, articles of incorporation, board regulations, and various corporate actions including board meetings and shareholders meetings. 
    • Representing a Taiwan-based global manufacturer of TFT LCD and other technologies in investigations by the Japan Fair Trade Commission (JFTC) for alleged cartel activities in the LCD market. We negotiated with, created a report and submitted evidence to the JFTC. 
    • Representing a global manufacturer of air conditioning, compressor and refrigeration products in cartel investigations around the world, including filing leniency applications to the JFTC on behalf of the company and its subsidiaries. 
    • Representing a former employee of a global manufacturing company which was subject to cartel investigations worldwide by the US Department of Justice and other jurisdictions. 
    • Representing a global manufacturer of chemicals, fibers and other materials in antitrust merger clearance based upon pre-merger notification filing with various countries’ antitrust authorities.
