Rahul is an experienced technical and commercial lawyer specialising in hotels, resorts and tourism projects in Australia and throughout the Asia Pacific Region.

    He is a leading hospitality and real estate transactions lawyer. Rahul and his team provide comprehensive advice for clients across the full project lifecycle, including joint venture structuring and investment, property law and due diligence, acquisitions and sales, hotel management agreements, developments, foreign investment and licensing. He is engaged for his skills in risk analysis and strategy, negotiations, legal architecture and project delivery.

    • Advising Mayfair Hotel and Adabco Boutique Hotel (Australia) on the acquisition of two hotels Adelaide, South Australia into a new luxury hotel fund. Advice including property and business due diligence, acquisition documents, structuring and finance.
    • Advising Bell City Precinct on the sale of two hotels, a commercial office building and retail premises as part of large precinct sale in Melbourne, Victoria. Advice included preparing multi asset transaction documents, seller due diligence, outgoing financing requirements and complex negotiations.
    • Advising on the tender and sale of 383 LaTrobe Street, a commercial office building in Melbourne, Victoria.
    • Advising a bidder on the proposed acquisition of the AccorInvest portfolio, with multiple hotels assets in Western Australia, New South Wales, Queensland, Australian Capital Territory and Victoria for a new hotel fund. Advice including initial property and business due diligence, acquisition documents, structuring and finance.
    • Acting for Woolworths Group on the acquisition of a development and logistic asset in New South Wales.
    • Acting for Mapletree Logistics Trust on the acquisition of four logistics sites in Melbourne, Victoria. Advice including land, property and leasehold due diligence, complex negotiations and transitional arrangements.
    • Advising on the establishment of the Elanor Metro and Prime Regional Hotel Fund, which included corporate restructuring, simultaneous acquisition of three hotels in New South Wales and the Australian Capital Territory. Advice including new investment structure, exit of existing financing and new fund financing.
    • Advising on the establishment of the Elanor Hospitality and Accommodation Fund, which included corporate restructure and complex tax advice, simultaneous acquisition of four new hotels with two existing hotels for the fund, new investment structure, exit of existing financing and new fund financing.
    • Acting for the owner on the sale of Crowne Plaza Perth.
    • Advising on the sale of Clarence Street Hotel and development site in Sydney, New South Wales. Advice included preparing transaction documents, seller due diligence and outgoing financing requirements.
    • Advising on the acquisition of multiple hotels assets in South Australia, Tasmania and Northern Territory for a new hotel fund. Advice including property and business due diligence, acquisition documents, structuring and finance.
    • Acting on the acquisition of Rydges Darwin Hotel and Resort for SC Capital, including the establishment of an MIT structure, complex FIRB application, Investment Management Agreement and Property Management Agreement requirements.
    • Advising on the multi-asset sale of Hyatt Regency Danang, Indochina Plaza Hanoi and two developments sites with offshore and onshore structures (Awarded Vietnam M&A Deal of Year 2015).
    • Acting on the acquisition for Norfolk Group and negotiation of the hotel management agreement for Six Senses Con Dao.

    • Advising Indochina Vanguard and Wink Hotels on structuring, establishment and operation of a hotel management platform for hotel profiles in Asia Pacific, including structuring, template agreements, shareholders agreement, financing and investment.
    • Advising Indochina Kajima joint venture on the establishment of a US$1 billion real estate investment joint venture for developments and asset management in Vietnam, including multiple offshore vehicles and investment structures.
    • Advising SC Capital on establishment of real estate development joint venture (including structuring, shareholders agreement and financing) for developments between a Singapore offshore fund and Vietnamese development group in Vietnam.
    • Advising VinaCapital Chow Tai Fook on the sale and joint venture for the Hoi An South casino development project, including preparing and structuring the sale and joint venture.
