Simon has broad experience in corporate advisory (including shareholder requisitions and board spills), private and public M&A, and equity capital markets in both Australia and the UK. Simon has advised in connection with takeovers, schemes of arrangement and private M&A transactions. He has also advised on a number of fundraisings including IPOs, rights issues and placements acting for both issuers and underwriters.

    Simon is also an expert in corporate governance and regularly presents on corporate governance issues including at the Governance Institute.

    Simon spent four years working in London where he advised corporates and investment banks, including, among others, advising the underwriters on the US$15.2 billion rights issue by Rio Tinto plc and Rio Tinto Limited (the first ever rights issue by a DLC) and advising Lonmin plc on its successful defence of a £5.6 billion takeover by Xstrata plc.

    • Echo Resources on its shareholder requisition by Kesli Chemicals.
    • Bass Metals on its shareholder requisition by Metals Finance.
    • Argentina Mining on its shareholder requisition.
    • Dynasty Resources on its shareholder requisition.

    Mergers and Acquisitions

    • Galaxy Resources on the announced sale of 100% of Galaxy Resources' Jiangsu Lithium Carbonate Plant in China to Sichuan Tianqi Lithium Industries Inc for US$122 million, representing an enterprise value of US$230 million.
    • Delta Resource Management and Michael Fotios on the restructure of Investmet via a AU$34 million in specie selective buy-back.
    • Altura Mining on the sale of the Balline Garnet Project in Western Australia for cash consideration of AU$4.5 million.
    • Perpetual Mining in relation to a AU$52.3 million investment in Mindax Limited’s Mt Forrest Iron Project.
    • West African Resources on its merger with Channel Resources Limited.
    • Pelican Resources on the assignments of its rights in the Cockatoo Island Iron Ore Project from Cleveland Cliffs to Pluton Resources.
    • Wolf Petroleum on the AU$40 million takeover bid by Strzelecki Metals.
    • Phillips River Mining on the bid by Silver Lake Resources and the subsequent asset sale to Silver Lake for approximately AU$20 million.
    • Acted for the management team on a management buy-out of SpectrumData.
    • Adamus Resources on its AU$600 million merger of equals with TSX listed Endeavour Mining.
    • KordaMentha as administrators of The Griffin Coal Mining Company Limited on the sale of Griffin Coal to Lanco Infratech for AU$750 million.
    • Straits Resources on the demerger of its metals business into separately ASX listed Straits Metals Limited by way of scheme of arrangement and the concurrent acquisition of all of the issued share capital of Straits Resources by PTT International for AU$550 million.
    • Lonmin plc on the successful defence of Xstrata's £5.6 billion hostile takeover bid.
    • Blackstone on its €2.3 billion acquisition of United Biscuits with PAI.

    Equity Capital Markets

    • Swan Gold on its AU$25 million recapitalization fundraising.
    • Galaxy Resources on its AU$36 million capital raising and financing transactions focussed on re-structuring the company's balance sheet.
    • Blackwood Capital on Atrum Coal's AU$18.5 million capital raising.
    • Perilya on its AU$110.5 million accelerated non renounceable rights issue.
    • Acted for a range of companies on secondary fundraisings including Millennium Mineral's AU$16.6 million placing, Gascoyne Resources' AU$6.6 million placement and rights issue, Gladiator Resources' AU$6 million rights issue, Millennium Minerals’ AU$6 million rights issue, Breakaway Resources' and Argentina Mining's Share Purchase Plan offers.
    • Taruga Gold on its AU$6 million initial public offer and listing on the ASX.
    • Argentina Mining on its initial public offer and listing on the ASX and the cornerstone investment by Independence Group NL, the farm-in and joint venture and strategic alliance with Independence.
    • BNP Paribas and Morgan Stanley as the sponsors to Galaxy Resources in relation to its proposed dual listing on the Hong Kong Stock Exchange.
    • Yell Group Plc on its proposed £4.2 billion refinancing conditional on an equity fundraising of at least £500 million.
    • Credit Suisse, Deutsche Bank, JPMorgan Cazenove, Macquarie, Morgan Stanley, RBS and Société Générale on Rio Tinto's US$15.2 billion rights issue, the first ever by a DLC.
    • HSBC, Merrill Lynch, UBS, RBS Hoare Govett and Barclays on the £620 million fundraising by Liberty International plc, a FTSE 100 property company.
    • Eurasian Natural Resources Corporation on its US$3 billion IPO and London listing.
    • on its £162 million leveraged buyout of a founder shareholder and share for share exchange and its £840 million London listing and £368 million IPO.
