Hagen Reinsberg is of counsel in the Corporate Transactions, Finance & Governance Practice Group, based in our Berlin office. He is a qualified lawyer in both Luxembourg and Germany. Prior to joining Squire Patton Boggs, Hagen worked for more than a decade as partner for a big Luxembourg law firm.

He is specialised in the setting up of Luxembourg investment funds and vehicles, tax driven corporate holding structures for international companies, groups or individuals, capital markets as well as M&A. Hagen advises international clients, particularly from Europe, Northern America and Asia whereby his focus is mainly on the implementation of and ongoing assistance to UCITS funds, alternative investment, private equity, venture capital and real estate funds by using mainly the Luxembourg SIF and SICAR.

His practice involves furthermore the listing of debt and equity securities on the Luxembourg regulated and alternative EuroMTF stock exchange market as well as advise on regulatory, transparency, notification and market abuse matters.

Furthermore Hagen is deeply involved in corporate restructuring and financing through Luxembourg unregulated structures to assist clients in benefitting from the advantageous tax environment and private wealth management.

Hagen is a member of the IBA.

  • Setting up of UCITS for Italy-based, Switzerland-based and Luxembourg-based banking institutions.
  • Setting up of a real estate fund for the Asia-based investments of a bank in Scandinavia and the East Europe and CIS activities of an Austria-based real estate group.
  • Setting up of an alternative investment fund for a Germany-based banking institution.
  • Setting up of regulated Luxembourg fund and asset management companies for fund managers in Italy and Switzerland.
  • Setting up of PE and VC funds for HNWI from France, Switzerland, Spain, the US and Turkey.
  • Providing counsel to a healthcare group in Germany with regard to two Rule 144A Offerings of US$500 million and €250 million Senior Notes in 2007 and 2010, subsequent exchange offer and listing of the Notes on the Luxembourg EuroMTF market.
  • Providing counsel to a Canada and UK oil company with regard to a dual listing of shares on the Luxembourg regulated stock exchange market and the London AIM market.
  • Listing of shares of a subsidiary of a UK telecommunications company on the Luxembourg EuroMTF market as well as listing of 5 tranches GBP₤6 billion Fixed Rate Eurobonds for the same group.
  • Providing counsel to a Germany-based company in the scope of a large takeover concerning a Luxembourg steelmaker.
