Jennifer Rodriguez advises clients on a variety of general corporate matters, including corporate formation/dissolution, corporate governance and corporate transactions, including mergers and acquisitions, and venture financing transactions. She also counsels companies on securities law compliance matters.

    Jennifer routinely guides non-US companies with US expansion, including subsidiary formation matters and by providing advice to non-US companies on complying with federal and state/blue sky securities laws in connection with issuances of stock options to US-based employees.

    Jennifer’s experience also includes providing corporate support with international tax restructuring projects for multinational corporations, as well as managing multinational diligence teams for cross-border M&A transactions.

    In addition to her corporate practice, she has experience advising foreign lawyers on navigating the California State Bar registration requirements.

    While in law school, Jennifer was selected as a participant for the US Securities and Exchange Commission’s Summer Honors Law Program, where she assisted in investigative fact gathering, and researching and analyzing federal securities laws for enforcement actions.

    Jennifer currently serves as the interim chair of the firm’s Northern California Women’s Enterprise Group. She is also a board member of a local nonprofit organization and serves as corporate secretary to the organization.
