    • Advising an FTSE 250 company in the hive-across and sale of the business and assets of one division of the business. This involved advising on and preparing a non-exclusive brand licence agreement for the use of intellectual property rights following the hive-across. The licence restricted use for a limited period and subject to restrictions, e.g. to only reproduce the brand in respect of certain products, advertising or promotional materials within the specified territory. The licence was drafted to ensure that all rights in and to the brand and the reputation and goodwill that could accrue through the licensee’s use of the brand, would vest in the company. Relevant provisions were also added in respect of confidentiality and to ensure protection of the brand. We reserved rights for the company to dispose of or otherwise deal with the brand at its discretion.
    • Supporting corporate transactions, such as share or business and asset acquisitions or fundraising. Transactions worked on include the purchase of the entire share capital of a football intermediary company, share acquisition of a natural inks and packaging manufacturer, the purchase of the assets of a pre-paid card company (in insolvency) and fundraising into a technology company.
    • Preparing transaction documents supplemental to corporate transactions, such as transitional services agreements, licences to use branding, assignment of intellectual property rights, assignment or novation of commercial agreements and hive-across agreements.
    • Advising a leading high street retailer on its employee monitoring in accordance with applicable data protection laws and its own policies and procedures.
      Drafting a venue license agreement for the hire of event space and associated services.
    • Preparing agency agreements and advising on the commission payment due on termination.
    • Drafting and updating general commercial documents, such as terms and conditions of sale and purchase, master services agreements, statement of work, distribution agreements and supply of goods and/or services agreements.
    • Advising clients on data protection compliance in accordance with the General Data Protection Regulation and Data Protection Act 2018 and drafting data protection documents, such as privacy notices, consent forms, data processing addendums and data protection policies.
