Jeffrey Schagren is of counsel in our Real Estate Practice and leads our Hospitality & Leisure Group in North America. He has more than 27 years of experience in various areas of the law.

    Jeffrey helps clients with matters related to business negotiations, development, mergers and acquisitions, management and franchise agreements, complex contract drafting, operations, risk management and compliance, and labor and employment.

    Prior to joining the firm, he served as general counsel and regional human resources leader at AccorHotels, where he led all legal, risk management and human resources matters for the North America, Central America and Caribbean Division. As a member of the company’s executive team, he provided counsel on corporate governance, trademark protection, due diligence, contracts, real estate transactions, asset management agreements, human resources, national and international labor and employment laws, and technology integration. In addition to traditional legal work, Jeffrey brings to hospitality and leisure clients a distinct perspective from a business view, having worked with brands, owners and operators in the industry throughout his career.

    At LQ Management L.L.C., the parent company of La Quinta Inns and Suites, Jeffrey held several roles in the legal department, where he spearheaded contract negotiations, litigation and crisis management, strategic business planning, human resources, policy, culture and best practices for the company.

    Other previous experience includes serving as associate general counsel and director of compliance for a leading national marketing company.

    • Negotiating a management agreement, technical services agreement, and trademark license agreement for a dual branded property with major hotel brand on behalf of client that owns amusement parks, water parks and hotels across the US and Canada.
    • Aiding in the development of hotel client’s brand in the US by drafting and assisting in the negotiations of the management agreement and technical service agreement templates for its existing Los Angeles location and prospective locations across the country.
    • On behalf of Paris-based hotel brand client, reviewed rules for global loyalty club contest to ensure compliance in various countries.
    • Assisted in the negotiations of distributed antenna system (DAS) monitoring and management agreement for a new build luxury hotel in Austin, Texas.
    • Worked to develop and draft a management agreement for hotel client’s dual branded property in Austin, Texas that will serve as a model for future management agreements for client. This was the client’s first management agreement.
    • Drafted subscriber agreement template for North America, now used for hotel brands and management companies across the region, as well as provide ongoing advice for client that provides hotel profit and loss benchmark services.
    • Drafted and negotiated restaurant management agreements, food and beverage consulting agreements, and trademark license agreements for clients in California and Texas.
    • Reviewed the Collective Bargaining Agreement for the potential buyer of a New York hotel.

    In-house Experience

    • Member of legal team in US$2.9 billion acquisition of FRHI Holdings LTD (Fairmont, Raffles and Swissôtel).
    • Key participant in successful US$2 billion divestiture of Motel 6 from Accor to Blackstone.
    • Representative deals include selling, refinancing, management and franchise agreements in the US, Canada and Mexico totaling more than US$900 million in assets.
