Seth Schuknecht focuses his corporate practice on mergers and acquisitions, corporate law and governance for both public and private companies, and SEC regulatory matters.

    Seth’s clients span a broad range of industries, including aerospace, technology, private equity and real estate. He has represented both public and private companies in mergers and acquisitions valued between US$7 million and US$1 billion in size.

    Due to Seth’s prior career as a Navy pilot, he also focuses on the aerospace and defense industry. Seth’s practice includes advising on the sale of airlines and individual aircraft and helping companies navigate the dynamic regulations applicable to the commercial use of unmanned aerial systems (i.e., drones). His expertise was recognized in 2014, when Governor Jan Brewer appointed him as one of nine commissioners on the state’s Aerospace and Defense Commission. The Aerospace and Defense Commission is Arizona’s sole entity overseeing all aerospace and defense-related commercial partnerships.

    Following law school, Seth clerked for the Honorable James A. Teilborg at the US District Court for the District of Arizona. Prior to law school, Seth served for almost a decade as an officer and Naval Aviator on active duty in the US Navy. Seth holds a civilian Airline Transport Pilot (ATP) certificate with type ratings in five different aircraft.

    • Representing sellers in the sale of the world’s largest crowd funding website for more than US$660 million.
    • Representing the seller in the sale of an airline to an international buyer.
    • Representing the seller in the sale of a US-based aerospace company to an international buyer.
    • Representing the seller in the sale of a US-based multinational dental design services company to an international buyer. The transaction included restructuring entities in both China and Costa Rica.
    • Representing companies in various transactions, including drafting and negotiating various documents/agreements and advising on issues ranging from entity formation, structuring and governance to financing arrangements.
    • Assisting the largest private golf club in North America on various transactional and litigation matters.
    • Assisting in annual guidance of various public companies in filings mandated by the Securities and Exchange Commission and corporate governance, including the drafting and filing of Forms 10K, 10Q, 8K, Proxy Statements, running at the market offerings, and preparation for various board meetings.
    • Representing issuers in multiple 144A debt offerings.
