Ekaterina Bakatina is an associate in our Moscow office's Corporate Practice Group. Ekaterina focuses her practice on corporate, commercial, life science and particularly antitrust matters. Ekaterina advises on general corporate, mergers and acquisitions, business restructuring and distribution matters. She regularly leads teams of associates in connection with antitrust filings and complex due diligence matters. Ekaterina’s experience also includes negotiation with various governmental authorities.

    • Performing comprehensive legal due diligence for (i) a major Russian producer of mineral fertilizers, (ii) a Russian mining company.
    • Performing comprehensive legal due diligence review of labor relations for a Russian group of companies having a network of clinical diagnostic laboratories across the country; review of compliance of employment agreements, internal work regulations and staffing schedules used by the group companies with applicable laws, and provision of recommendations with a view to minimize labor-related risks.
    • Advising clients on Russian antimonopoly regulations in connection with proposed mergers and acquisitions, and change of control over Russian companies.
    • Drafting various deeds of pledge such as pledge of rights over construction contracts, pledge over loan receivables and pledge over participatory interests.
    • Liaison with the Federal Antimonopoly Service (advising clients on antimonopoly laws and laws on investments into strategic companies, drafting applications and notifications to FAS seeking to obtain approval of transactions).
    • Advising a large Czech bank on the procedures of foreclosure of pledged assets through court proceedings and out of court.
    • Advising a leading foreign telecommunications company on Russian regulatory requirements in the sphere of telecommunications.
