Richard Svocák has experience advising on a wide range of labour and employment matters, relating to employment affairs in multiple jurisdictions. This included assisting in setting up internal processes at fast-growing technology startups, terminations of employment, settlements, cross-border transfers of employees and negotiating with employees.

    In regard to corporate transactions, Richard has experience in advising on corporate reorganisations, venture capital investments and divestments in respect of technology startups.

    Richard also has ample experience in negotiating technology transactions involving the provision of Software as a Service (SaaS). In relation to this, Richard has experienced drafting and reviewing general terms and conditions of technology-focused companies, negotiating service-level agreements and data protection addendums.

    With respect to financial services, Richard has experience with advising on internal processes in respect of AML and KYC requirements.

    Besides this, Richard also has experience from the Big Four environment, where he was involved in multiple forensic due diligence reviews and preparation of expert reports for international arbitration proceedings.

    • Advising a multinational French industrial gas producer in connection with the sale of its subsidiaries in the Czech Republic and Slovakia to the world’s largest privately run gas specialist for industrial, medical and specialty gases. It involves a standard multijurisdictional M&A seller’s transaction with all its aspects, including data room preparation, SPA negotiations and share transfer contracts, post-transaction support and registration of subsequent changes.
    • Advising a US multinational global manufacturer of welding products on the winding-up of its Slovak operations, including the entire process of sale of the client’s former manufacturing plant located in the Nitra region of Slovakia and restructuring of commercial relations with business partners.
    • Assisting a leading German supplier of reusable plastic packing on the winding-up of its Slovak operations.
    • Advising one of the world’s largest giants in the chemical industry on daily business matters, starting with the establishment of its branch office in Slovakia, through preparation of standard form contractual documentation, to regular employment, labour matters and negotiation of commercial lease agreements for office space.
    • Advising a local subsidiary of a Finnish residential and apartment developer in property acquisition of lands and buildings. By acquiring additional land, the developer expanded its successful residential project in Bratislava. The whole project will offer hundreds of new flats to the booming residential market in Bratislava.
    • Advising a Czech investment fund as purchaser, in the M&A transaction for the purchase of SPVs owning hostels for workers and adjacent land plots, including real property due diligence.
    • Advising our long-term client – a subsidiary of a European leader in the manufacturing of high-strength geosynthetic products for civil infrastructure projects – on various corporate and commercial matters, including the handling of a corporate housekeeping agenda.
    • Advising the US Embassy in the Slovak Republic in the acquisition of prime location lands and buildings owned by several entities, both from private and public sectors, for construction of the new US Embassy compound, including niche expertise on the specifics of public international law and diplomacy. The process of land acquisition is governed by multiple legal regulations depending on the status of the particular selling public institution. The acquisition includes a detailed historical legal due diligence of title.
    • Advising a British multinational contract foodservice company on various complex Slovak labour and employment matters.
    • Advising a global pharmaceutical group to cover various corporate and commercial matters, including complex and daily operational matters and various areas of labour and employment expertise, such as providing assistance in international transactions, including transfers of employee rights at the national and international levels, which occur very often (even several times a year) given the nature of pharmaceutical business and involve transfers of individual products or therapeutic lines between competitors.
    • Advising a Pan-European electronic communications operator on regulatory aspects related to its Slovak operation.
    • Advising a leading PaaS provider on Slovak regulatory aspects pertaining to its business in Slovakia.
    • Assisting the world’s largest social network on various Slovak law regulatory aspects.
