Mark Thomas is a partner in the Financial Services Practice, based in the London office.

    He has over 20 years’ experience as a debt finance lawyer, covering structured finance, securitisation, structured loan and receivables purchase products, real estate finance, trust structures and debt capital markets.

    Mark advises a range of issuers, lenders, arrangers, originators and service providers (including servicers, special servicers, trustees, custodians, cash managers and agents) in sectors including retail, chemicals, financial services and real estate on a variety of UK and cross-border securitisation and structured finance transactions, including trade receivables, residential and commercial mortgage-backed securities and retail receivables.

    Mark also advises a number of alternative funders and borrowers in relation to real estate finance and fintech and has been instrumental in creating new capital efficient structures for regulated lenders.

    • Acting for a publically listed Fortune 500 company, specialising in construction, chemicals and petroleum and operating in more than 100 countries in a cross-border €180 million trade receivables securitisation.
    • Acting for a leading UK FTSE 250 plc retail company in a £200 million trade receivables securitisation.
    • Acting for M&G in relation to an innovative receivables purchase financing.
    • Acting for ABN AMRO on the structuring of an innovative cross-border structured asset-based lending programme.
    • Acting for two “challenger” banks on a number of revolving credit and debt purchase facilities funding alternative lenders.
    • Acting for a major international bank in relation to a multibillion- pound pre-positioning for the Bank of England's discount window facility.
    • Acting for a major European investment bank on a £600 million trade receivables securitisation.
    • Acting for the issuer (and group companies) in the restructuring and orderly wind-down of TITAN EUROPE 2007-2 European CMBS issue.
    • Acting for the borrowing group companies and corporate services providers in relation to the restructuring of a complex French CMBS programme.
    • Acting for a leading special servicer in its provision of trustee and special servicer services on a number of CMBS and whole of business securitisations.
