Callum Twigger is an associate in the Corporate Practice who advises on consumer law, franchising arrangements, mergers and acquisitions, financings, commercial contracts and other corporate transactions. Callum has worked extensively with clients in the automotive industry and mining sector.

Callum advises on the Australian Consumer Law, the Franchising Code of Conduct, and numerous other contractual and statutory issues arising in respect of both the consumer and wholesale automotive vehicle industries. Callum has spent over a year seconded on a part-time basis with a major consolidated vehicle dealership group.

Additionally, Callum has previously worked on a range of mergers and acquisitions, capital raisings including initial public offerings (IPOs), debt and insolvency transactions and commercial agreements. He also advises on corporate governance and regulatory matters, including in relation to the Corporations Act 2001 (Cth) and compliance with the ASX Listing Rules.

In addition to working in private practice, Callum’s previous roles include a managerial role at a private corporate finance advisory firm working on a range of transactions for the mining sector, and prior to that, as a journalist and editor for newspapers, websites and magazines.

  • Successfully defended or settled in the client’s favour multiple Australian Consumer Law claims in respect of consumer automotive vehicles.
  • Facilitated the enforcement or favorable renegotiation of numerous consumer and wholesale contracts.
  • Advised a major automotive group in multiple automotive vehicle franchise negotiations subject to the Franchising Code of Conduct and transactions.
  • Assisted a client to establish one of Western Australia’s (WA) largest luxury boat franchises, including a drafting template contract for the sale and purchase of luxury vessels.
  • Prepared advice on obligations under the Motor Vehicle Dealers Act 1973 (WA) and related regulations.
  • Assisted in developing an industry-leading odometer tampering detection and investigation policy.
  • Working with an ASX-listed exploration company on a successful polymetallic asset portfolio spin-out and an IPO on a Canadian stock exchange.
  • Working with an ASX-listed gold miner on a major asset divestment.
  • Assisting with Brightstar Resources’ AU$53 million debt cancellation and recapitalisation.
  • Advising on the corporate and debt restructure of the Rivet Group (formerly Adaman Resources).
  • Advising on Northern Star Mining’s acquisition of a major gold mining project.
  • Advising on the divestment of a significant producing base metal royalty to a multinational royalty company.
  • Providing strategic assistance in relation to mining tenement acquisitions, forfeiture applications, legal settles and mining law disputes.
  • Advising on a range of M&A transactions via schemes of arrangement, restructurings and asset acquisitions.
  • Advising on several off-market takeover bids for ASX-listed mining companies, both friendly and hostile.
  • Advising on a range of corporate governance matters, including compliance with the ASX Listing Rules, securities law, Takeovers Panel matters and directors’ duties.
  • Reviewing and advising on goods and services supply contracts for the mining industry.
  • Drafting a variety of commercial documents, including retainers, confidentiality agreements, deeds of settlement, transaction documents and internal company policies and governance procedures.
  • Undertaking general corporate advisory work, including preparing notices of meetings, AGM documentation, amendments to company constitutions, employee incentive schemes and corporate restructures.
