Melissa M. Valdez García is an associate who specializes in legal and contractual engineering, corporate law and energy regulation. She has significant experience in administrative law, foreign investment and international law matters.

    She has advised both Dominican and international clients on diverse business ventures in the Dominican Republic, including the acquisition and sale of assets and corporate restructuring. Likewise, Melissa has assisted clients in the development of energy generation projects in the Dominican Republic, including designing legal, corporate and contractual structures that ensure an ideal tax and operational strategy for the successful development of these projects, as well as assisting in all regulatory matters.

    • Advising on the acquisition and sale of assets, including presenting and drafting due diligence reports.
    • Drafting (i) legal opinions regarding corporate, tax, regulatory and international law matters, and (ii) legal documents required during appellate proceedings before governmental institutions in the Dominican Republic.
    • Designing, implementing and negotiating corporate legal structures and contracts to ensure the fulfillment of the client’s business objectives.
    • Acting as corporate secretary for clients, including the drafting of meetings’ agendas, minutes, resolutions, certifications and tasks matrix.
    • Preparing the legal documents required for clients to compete in a tender process.
    • Assisting in the predevelopment phase of the first waste-to-energy (WtE) plant in the Dominican Republic, including legal and regulatory advice.
    • Serving as special Dominican counsel to Banco Dominicano del Progreso S. A. in the sale of its shares to The Bank of Nova Scotia.
    • Institutional relations management on behalf of clients before public and private stakeholders.
