Valeria Volgina is a senior associate in our Moscow office's Corporate Practice Group. Her practice focuses on M&A deals, joint ventures and general corporate matters.

    Valeria has significant experience in complex Russian and cross-border corporate transactions, particularly private equity, joint ventures, divestitures and acquisitions across a wide variety of business sectors. Valeria leads teams of colleagues on completing due diligence exercises and completing a host of transactions.

    Prior to joining the firm, Valeria worked with another major international law firm.

    • Representing an investment subsidiary of the major Russian state bank in connection with a number of the mezzanine financing deals.
    • Advising a state corporation in connection with its joint venture with state-owned investors relating to incorporation and management of a concession operator.
    • Representing an investor in connection with the acquisition of a material stake in a developer and manager of an online travel platform.
    • Representing an investor in connection with the acquisition of a material stake in a grain transshipment facility on the Black Sea.
    • Representing a leading utility operator in connection with raising equity through the sale of a significant stake in business to a state development bank, including negotiation of a Russian law governed shareholders agreement to govern the parties’ mutual operation of the business.
    • Representing Russia’s largest private operator of centralised water supply and sanitation systems in connection with negotiating a complex shareholders agreement governed by Russian law with a new state-owned anchor investor.
    • Representing an investor in connection with the divestiture of a leading outside advertising business in Russia and Ukraine.
    • Representing Baring Vostok, in connection with the divestiture of a material stake in the second largest independent mobile telecommunications towers operator in Russia.
    • Advising NPF “Blagosostoyanie”, Russia's second largest private pension fund, in connection with merging insurance assets with a leading insurer in the Russian market, including the negotiation of a Russian law governed shareholders’ agreement to govern the parties’ mutual operation of the business.
    • Advising NPF “Blagosostoyanie”, Russia’s second largest private fund, in connection with the acquisition of an equity stake in a Russian entity running the concession business.
    • Representing a leading state bank in connection with acquiring a majority stake in a big data media monitoring business.
    • Advising a leading state bank in connection with restructuring shareholders agreement in relation to a major Russian digital TV operator.
    • Advising a foreign sea-catching group of companies on the sale of its fishing business in Russia.
    • Representing the leading Russian online retailer in connection with numerous rounds of capital raising.
    • Representing a leading publicly traded provider of fleet card and specialty payment services in acquisitions of complementary businesses in the Russian Federation, including the leading fuel card software platform providers used in the Russian Federation.
    • Advising Russian investment fund in connection with its venture investments into a life science company.
    • Advising international and Russian event organisers on a number of acquisitions and divestitures of exhibition business in Russia.
    • Advising a Russian private investor in connection with the acquisition of a pharmaceutical manufacturing facility in Kazakhstan.
