Joshua Walsh is an associate in our Corporate Practice Group. He advises clients on a broad range of international and domestic corporate and commercial matters in the public and private spheres.

    Joshua has experience in a wide range of areas, including mergers and acquisitions, equity capital markets, banking and finance and restructuring and insolvency. Joshua has also conducted a wide range of sale transactions, from distressed acquisitions in the insolvency space to bid acquisitions leading into initial public offerings on reputable stock exchanges.

    Joshua also has experience in a plethora of general corporate advisory matters, including coordinating due diligence investigations, reviewing and revising contracts and negotiating various other types of commercial agreements.

    Mergers and Acquisitions

    • Advised Racing and Wagering Western Australia in respect of the privatisation of the Western Australian TAB.
    • Acted for a Chinese multinational mining corporation in relation to its bid for the ASX-listed Bounty Mining Group by way of a deed of company arrangement.
    • Acted for Pitcher Partners in relation to its administration of a service and maintenance company by way of a share sale and a deed of company arrangement.
    • Acted for a Western Australian tow truck company in relation to its share sale to a large national Australian tow truck provider.
    • Acted for the Warburton Group in respect of the sale of substantial land parcels to the Stockland Group.
    • Acted for Supercharge Batteries in relation to its acquisition of the Lion Batteries Group.
    • Acted for Supercharge Batteries’ acquisition arm in relation to numerous acquisitions of battery distributors across the Australian Eastern seaboard.
    • Acted for a Western Australian mining equipment company in relation to its share sale, for cash and scrip consideration to a public company.

    Equity Capital Markets

    • Advised an Australian public company in relation to its scrip-for-scrip rollover and drafted bid documentation in relation to a friendly takeover bid.
    • Advised an Australian mining equipment company in respect of a potential backdoor listing on the Frankfurt Stock Exchange, a potential listing on the ASX and various fundraising aspects of its acquisition, including advisory on (among other things) loan documentation, share lock-up deeds and share sale deeds.
    • Advising an ASX-listed company with a switch of its listing from the ASX to another stock exchange.

    Banking and Finance

    • Advised the M Group in relation to its project financing for the development of a Quest hotel in Western Australia.
    • Advised a Western Australian private company in respect of suite of aircraft finance documents and Cape Town Convention security interest registrations.

    Corporate Advisory

    • Advised on aspects of the acquisition of Midland Brick from the Boral Group.
    • Advised Ferrari’s general counsel in relation to aspects of Ferrari’s proposed “Mission Winnow” advertising campaign on its Formula 1 cars in the 2019 Australian Grand Prix.
    • Advised the Youthcare Group regarding revisions to its rules of association.
    • Advised an Australian public company on Foreign Investment Review Board requirements following the introduction of strict requirements imposed by the Commonwealth Treasurer as a result of the COVID-19 pandemic.
