Yijun (Jerry) Wang is an associate based in our Shanghai office. Before he joins the firm, he served as an senior tax consultant in one of the “Big Four” accountancy firms for five years. He focuses his practice on PRC tax matters relating to corporate daily operation, M&A transactions, tax dispute resolution, tax compliance and tax concession applications. He has assisted clients in the sectors of manufacturing, chemicals, pharmaceuticals, FMCG and automobiles.

    Jerry passed the PRC Bar Examination in 2013 and obtained CICPA qualification in 2016.

    • Assisting a Hong Kong listed electrical electronics company in its acquisition of the Chinese subsidiaries of a US based electronics company from PRC tax perspective, leading the PRC tax due diligence, identifying the tax risks and quantifying the relevant tax exposures to mitigate the overall tax risks of the acquisition.
    • Assisting a Chinese leading logistics company on the Circular 7 filing with the competent tax authority to report the offshore share transfer which lead to the indirect transfer of the PRC company, including review of the share purchase agreement, draft of the explanation letter, negotiating with the tax authority to demonstrate the business substances of the transaction and finally achieving the offshore deal non-taxable in PRC.
    • Assisting the Chinese subsidiaries of a leading US pharmaceutical company to build up its internal tax risk management systems in connection with corporate income tax, value added tax, outbound remittance and invoice management, demonstrating to the tax authority the effectiveness and efficiency of the tax risk management system within the group to mitigate the potential tax audit risks in the future.
    • Counseling an Italy-based automobile company on the group restructuring of its various Chinese subsidiaries from PRC tax perspective, including proposing restructuring schemes, analyzing PRC tax implications and quantifying PRC tax costs under each scheme, seeking possible PRC tax preferential treatment of the restructuring and advising on the potential claw back of financial subsidies matters.
    • Assisting various clients in a wide range of industries, including chemicals, automobiles, manufacturing and IT services on the assessments and implementations of tax concessions (e.g. R&D super deduction, High and New Technology Enterprise, Advance Technology Service Enterprise), achieving tax savings of more than RMB 10 million in total.
