William Wong is an associate in our Corporate Practice, advising both publicly listed and private entities on a variety of corporate transactions, including mergers and acquisitions, joint venture arrangements, asset purchases, and sales and other financing arrangements.

    William undertakes legal and financial due diligence in relation to complex M&A transactions, assists clients with negotiating the terms of those deals and has experience drafting related documents, including scheme implementation deeds, sale and purchase agreements, and loan agreements.

    • Advising Santos Limited on its AU$2.2 billion acquisition of ConocoPhillips’ northern Australian gas assets and business, including the Darwin LNG processing plant, related gas pipeline and connected gas fields.
    • Advising Wesfarmers Limited on its AU$776 million acquisition of the Western Australian lithium miner, Kidman Resources, by conducting commercial and legal due diligence, drafting the scheme implementation deed, and executing post-implementation tasks.
    • Advising ANZ bank, HSBC and Rabobank on their AU$200 million facility with Co-operative Bulk Handling Group.
    • Advising Zenith Energy Limited on its AU$150 million acquisition by Pacific Equity Partners using a scheme of arrangement.
    • Advising ASX-listed rare earths explorer, Hastings Technology Metals Limited on its AU$40 million placement and non-renounceable, partially underwritten rights issue with free attaching option.
    • Advising Citibank N.A. on negotiating the terms of a standstill in relation to an AU$35 million facility agreement with an Australian mining company borrower group.
    • Advising KPMG on the voluntary administration of two aged-care companies, Berrington Group Pty Ltd and Berrington Care Group Pty Ltd, and its subsequent AU$14 million acquisition by The Bethanie Group Inc.
