Our experienced lawyers have been involved in Italian matters for decades, developing specific expertise in and familiarity with the demands, expectations and requirements of Italian and multinational clients alike.

We have one of the largest and most experienced groups of legal professionals based outside of Italy, and provide cross-border advice to:

  • international investors in their investments and activities in Italy
  • Italian clients in their transactions or other business law needs outside of Italy

Why Choose Us

  • Bridging cultures. Our Italy team includes Italian-born or dual citizens lawyers, bi-lingual or fluent in Italian, who have dedicated a significant portion of their careers to working in markets and industries that are outside of Italy and important to the Italian business community. Many of the firm’s lawyers across our global platform have gained significant experience in advising Italian clients. As a result, we possess a unique ability to appreciate the background of both Italian clients and business parties based in other markets, and we are able to act effectively as trait d’union in identifying the needs and reconciling the conflicting demands of parties with different culturally-driven expectations.
  • Global coverage. Our network of offices spans five continents. Across the world we have large and well established teams of professionals with significant experience in practice areas ranging from M&A to venture capital, project finance, equity or debt capital markets, real estate, labor and employment, commercial contracts, intellectual property, cross-border tax planning, response to government investigations of business activities, presenting business perspectives in response to proposed legislation or regulation, or arbitration, litigation and other dispute resolution. We are able to call on our Italian speakers to advise Italian clients and foreign investors in any of these regions and practice areas.
  • Connections in Italy. Although we do not provide domestic Italian legal advice, we are well known to, and regularly work with a number of established Italian law firms ranging from large, leading national law firms to boutique or regional firms. This enables us to offer seamless, high quality representation with respect to domestic Italian as well as cross-border law matters. Indeed, precisely because we do not have an office in Italy, leading Italian law firms are keen to work with us, to assist us and our clients, and to recommend us for cross-border matters.

Working With Foreign Investors in Italy or Italian Companies Looking for Investors or Buyers

We represent corporations, funds (private equity, infrastructure, hedge and specialized funds), other investors and their advisers in structuring and negotiating their acquisitions in Italy and then in monitoring their investments in Italy. We also act for Italian corporations that are looking for providers of equity or debt capital or that wish to sell assets or shareholdings.

We routinely advise multinational firms in connection with their investments in Italy and in the negotiation of commercial relationships and exchanges of technology and know-how with Italian parties.

We make deals happen. We play an instrumental role in identifying investment opportunities in Italy for our investor clients or for Italian target clients. Our professionals include Italian native speakers, with significant experience in deal-making in Italy, who are well-known to the local legal, banking, professional and corporate communities. As such, we are often able to identify suitable and off-market investment opportunities across a wide range of sectors, or locate appropriate investors for Italian corporations looking to sell assets or equity positions.

Representative Experience

  • Representing various foreign private equity funds, turn around funds, sovereign wealth funds and industrial investors in the structuring and negotiation of the acquisition of controlling stakes in various Italian enterprises, operating across a number of industrial sectors.
  • Representing a number of specialized funds in the acquisition of NPL portfolios in Italy.

Representing Italian Investors and Companies Abroad

We routinely represent Italian corporations, entrepreneurs and individuals in the execution and management of their investments abroad; in their exits from certain investments; in accessing the international capital markets; as lenders or equity investors in large infrastructure projects or leveraged finance projects; in international arbitrations or cross-border litigation; or as general corporate counsel to their foreign subsidiaries.

M&A and Private Equity

We represent Italian companies, private investors and various funds in structuring, executing and managing their investments outside of Italy. Leveraging on the size and reach of our network, we are able to support Italian investors anywhere across the globe where they may be considering an investment. The lawyers in our Italy practice are fluent in Italian, some of them born and raised in Italy, and with significant expertise in cross-border transactions, including in emerging markets, thus making us a precious and very accessible adviser to Italian clients considering a foreign investment, including in emerging jurisdictions.

Venture Capital, Start-ups, Scale-Ups and Technology

We have a thriving practice advising Italian entrepreneurs in setting up their businesses and then advising and representing entrepreneurs and investors (such as angel investors, family offices or VC funds) in the scale-up of emerging companies – especially in the technology space and, in particular, out of our San Francisco and London offices.

Corporate and General Counsel Services

We routinely act as outside general counsel for a number of mid-sized and larger Italian companies across the US, Europe and CEE. In such capacity, we assist clients in navigating corporate, regulatory and contentious matters. We have also assisted leading Italian companies in the reorganization of their interests, subsidiaries and operations abroad. Because our network has offices in North America, Latin America, Europe, Asia Pacific and the Middle East, we are able to assist Italian companies in their international expansion and then management and growth of their operations almost anywhere in the world.

Equity and Debt Capital Markets

We are one of the leading international law firms advising Italian issuers and underwriters on the US and English law aspects of Italian ECM and DCM offerings. We routinely advise on Italian IPOs with an international tranche under Rule 144A and Regulation S; registered US-offerings (NYSE; NASDAQ); private placements; right offerings or block trades under Rule 4(a)(2) and other exemptions from the US Securities Act. Due to the reach of our network, we are also able to advise our clients on public offerings in the UK (whether on AIM or on the LSE) and US (NYSE or Nasdaq), as well as on any other major international securities markets, including in Germany, France, Poland, Russia, China, Japan, Singapore and Brazil. Our DCM expertise also covers the full range, from investment grade to MTN programs, high-yield, and convertible or exchangeable debt securities.

Banking and Project Finance

English law has become the leading governing framework of international leveraged financings or project financings, and our team includes Italian speakers qualified in England and Wales, with significant expertise in cross-border financing transactions. In particular, with respect to project financing and leveraged financing, due to the size and reach of our network of offices, we are able to assist and advise Italian clients on investments across all continents and especially within emerging jurisdictions. Our Italian-speaking finance lawyers have gained significant experience on finance transactions across the world – in particular in CEE, Africa, Middle East and Asia Pacific – including with respect to projects where co-lenders were major international financial institutions, such as IFC, EBRD, EIB, ADB and DEG.

Litigation, Arbitration and Dispute Resolution

We regularly advise Italian companies on dispute resolution in the local courts and arbitration institutions through our global coverage, including strategic advice about the differences between the local and Italian court system and advising on mediation, arbitration, expert determination and adjudication. We offer experienced advocates who are legally qualified to represent you in the regions where we have offices. Our network of relationships with firms worldwide means that if we do not have an office in a particular location, we can introduce you to leading local counsel to protect your interests.

Our capabilities include:

  • Arbitration under international rules
  • Litigation in local courts and international tribunals
  • Mediation and other alternative dispute resolution methods
  • Prosecution and defense of intellectual property rights (trademark, patents, copyright)

Real Estate

Investing in real estate in a foreign jurisdiction is made straightforward and simple because we can advise you about the benefits and risks of acquiring property across the globe. Our lawyers have relationships with local agents so we can find you deals off-market and ensure that you have the best representation when negotiating. Our risk management advice means you will make an informed decision when acquiring property in Italy or anywhere across the globe. We have also advised Italian companies and investors on the acquisition of commercial and residential real estate around the globe, as well as in connection with the acquisition of more specialized property.
