Jeffrey Koppele’s practice focuses on taxation of a wide variety of transactions. He has extensive experience advising companies, funds, and financial institutions on US and cross-border mergers, acquisitions, and dispositions, bankruptcy and other restructurings, funds and investments, capital markets transactions, financings and financial products.
Jeffrey counsels financially troubled companies and their creditors in bankruptcy and other restructurings, including planning for the preservation and utilization of NOLs and other tax attributes. In the funds and investments arena, he advises on structuring and formation of private equity, real estate, infrastructure, and debt funds and REITs, as well as on inbound and outbound tax planning, including tax-efficient structures for investments in US real estate, distressed debt and businesses.
Jeff advises lenders and borrowers on US and cross-border leveraged credit facilities, as well as repo, securities lending and other financing transactions. He provides advice on tax efficiencies relating to debt and equity offerings, derivatives and structured products. He also advises on securitizations, including MBS, CLOs and other asset classes.
