About Seth

Seth Osnowitz is a senior associate in our Corporate Practice Group. He advises publicly- and privately-held companies in mergers and acquisitions, capital markets transactions, corporate restructurings, corporate governance and securities law compliance matters.

He represents clients across a wide range of industries, including manufacturing, life sciences, chemicals, energy and technology. Seth is recognized by colleagues as being a team player with the ability to find unique solutions to new problems.

Seth has extensive experience in raising capital through public offerings, follow-on offerings and securities offerings. Additionally, he follows changes to securities regulations and has become a leading resource for clients and colleagues on important updates impacting our clients’ businesses.

Experience

Seth has significant experience, serving as a key team member on numerous deals, including:

  • Advising The Craftory Ltd. in its follow-on investment in Hippeas, Inc.
  • Advising a rate-regulated electric utility company in a public offering of US$2.5 billion in first mortgage bonds.
  • Advising a large utility company in its US$4 billion public offering of debentures.
  • Representing Valvoline in its US$2.65 billion sale of one of its subsidiaries to Aramco.
  • Advising Enviri Corporation in the US$45 million sale of Reed Minerals, LLC.
  • Advising a Fortune 500, New York Stock Exchange (NYSE)-listed chemicals company on restructuring its Latin America entities.
  • Advising a national home repair service company in its acquisition of a family-owned heating, ventilation and air-conditioning service company.
  • Advising emerging companies in connection with private financing transactions.
  • Advising a NYSE-listed electric services company in connection with the sale of a power generation facility.
  • Advising a Canadian medical device company in its acquisition of a family-owned medical device manufacturer.
  • Conducting due diligence and providing advice in relation to a technology company’s initial public offering on the Australian Securities Exchange.
