Squire Patton Boggs has advised LumApps, the leading next-generation intranet provider, on its legal vendor due diligence in the context of the strategic investment by Bridgepoint, one of the world’s leading quoted private asset growth investors.
Bridgepoint Europe VII will make a strategic investment in LumApps in a deal valued at $650 million. LumApps’ existing backers Growth Equity at Goldman Sachs Alternatives, Eurazeo Growth, Bpifrance, through its Large Venture fund, and IRIS will sell their shareholdings in LumApps to Bridgepoint as part of the transaction. LumApps’ founders and senior management remain invested in the company’s equity and business. Financial terms were not disclosed. Closing is expected to occur in July 2024.
The team advising LumApps was led by Corporate partner Anthony Guillaume in Paris and included associate Victor Dransard. The team also involved an international multidisciplinary team in France, the UK, the USA, Japan, Spain and Germany.
Headquartered near Lyon, France, LumApps is a cloud-based social intranet for enterprises, enhancing workplace engagement and productivity by making it easier for employees to work, communicate and collaborate. The company is at the forefront of the next-generation intranet market and now has more than five million users and around 700 clients worldwide.
Bridgepoint Group plc is a listed international alternative asset manager focused on middle-market companies. The Group has been present in France for over 35 years, where it has one of the largest investment teams and a track record of landmark deals in the technology space. LumApps will be the fourth investment of Bridgepoint Europe VII in France.
“We are delighted to support our client LumApps on this important, strategic transaction,” says Anthony Guillaume. “The partnership with Bridgepoint heralds a new phase of growth for LumApps, which we hope will create opportunities for us to continue supporting LumApps in further M&A transactions.”
This new transaction is part of an established relationship with the LumApps teams. The Squire Patton Boggs team, led by Anthony Guillaume, has previously assisted the company in its last two major acquisitions, specifically the acquisition of Vizir in 2022 and the acquisition of Teach on Mars in 2023.
