Zayna Abu-Geras
Associate
Zayna Abu-Geras advises on corporate governance and regulatory matters, corporate and business structuring and commercial contracting arrangements, where she predominately acts for clients in the energy and natural resources sector.
Zayna’s corporate transactional experience includes advising on due diligence and preparation for stock exchange listings and domestic and cross-border acquisitions, establishing new corporate business structures and acting for clients on corporate governance matters.
Zayna advises on the drafting and negotiation of various types of commercial contracts, including operations and maintenance agreements, power purchase and other electricity supply agreements, commodities offtake agreements and goods and services procurement agreements.
Zayna also has experience acting for energy sector clients on the regulatory aspects of their operations, such as compliance with local electricity market rules and regulations.
- Acting for an independent power producer on the operations and maintenance agreements for a 42.5MW solar farm in Queensland.
- Acting for a government-owned electricity retailer in:
- Varying a number of power purchase agreements and other operational electricity agreements as a result of changes to local electricity market rules
- Drafting and negotiating an electricity network services subcontract
- Delivering presentations on amendments to local electricity market rules and regulations
- Advising an independent solar energy company in South Australia on the transfer of an electricity retail licence.
- Acting for a Middle Eastern minerals investment company on an offtake agreement for the supply of gypsum.
- Acting for a Chinese mining technology company in establishing its Australian subsidiary.
- Acting for a metropolitan airport operator in developing a risk assessment matrix to screen for potential modern slavery supply chain risks when engaging suppliers and contractors.
- Drafting a settlement deed for an international client in relation to a property purchase in Western Australia.
- Advising on solar and wind power projects in Australia.
- Acting for a healthcare agency in drafting agreements for the supply of radio pharmaceuticals.
- Assisting with drafting an e-commerce services agreement for an international sporting event operator.
- Undertaking due diligence for proposed initial public offerings and listings on recognised securities exchanges in the People’s Republic of China and acquisitions, including the acquisition of an African gold mine.

- Reviewing documents in relation to directors’ guarantee obligations.
- Preparing advice in relation to the business structure used to establish an early-stage investment company.

- Reviewing tax implications for foreign companies doing business in Australia.
- Assisting in preparing a goods and services procurement agreement for a not-for-profit/charitable organisation.
