Simon Ayling is an associate in the global Corporate Practice based in our London office. His practice covers all aspects of corporate work, including corporate transactions (such as mergers, acquisitions, disposals, buyouts and funding), structural and governance issues, and corporate finance matters.

    Simon has acted for a wide range of businesses, including independent schools, universities, charities, tech startups, SMEs, healthcare providers and private equity firms. He has a good working knowledge of the charity and education sectors, as well as experience of establishing employee ownership companies and family investment companies.

    • Assisting the shareholders of a UK startup on its multimillion-dollar group sale to a US company involving a complex performance-based earn-out structure worth up to US$175 million.
    • Advising the majority shareholders of a national cleaning company on their share sale to an employee ownership trust.
    • Advising the executives of a property finance business on a management buyout by venture capital funds for over £16.5 million.
    • Advising multiple independent schools (charitable, for profit and private equity backed) on mergers, acquisitions and change of control structures.
    • Advising several primary care networks on company incorporations and preparing bespoke articles and shareholder agreements to reflect the PCN’s structure, as well as ensuring compliance with the NHS framework.
    • Advising a university on its joint venture with an international education provider to create an embedded pathway college for international students.
    • Advising a leading science charity on its governance framework, including complex member voting arrangements, in particular its application during national lockdowns.
