Rocío García is a partner in the Corporate, Mergers and Acquisitions (M&A) and Private Equity teams in the firm’s Madrid office.

Rocío advises on all aspects of corporate work, with special focus on private equity and mainstream M&A, both national and cross-border. Throughout her career, she has taken part in, and led, a wide range of transactions, advising large industrial groups and private equity houses and their portfolio companies in the context of add-ons and liquidity events. Her broad expertise also encompasses advising on complex corporate reorganisations and restructurings, joint ventures and special situations and distressed transactions. She also devotes part of her practice to working on growth and venture capital financing and corporate governance.

Rocío is a professor of M&A, corporate and general commercial law at Carlos III University in Madrid and the IE Law School. She has been recognised by Law.com as a European Female Rising Star in Corporate Law and Mergers & Acquisitions in 2021.

  • Advising Groupé Colisée (controlled by private equity house EQT) on its landing in Spain in the nursing home and elderly care market, corporate reorganisation and business expansion through add-ons (share and business deals), co-investment agreements with Real Estate funds and sale and leaseback transactions.
  • Advising Sherpa Capital on the Sale of Indo Optical to Ergon Capital.
  • Advising Luxembourg-based private equity house Springwater Capital on the acquisition of the international tour operator Mapa Tours.
  • Advising Springwater Capital on leverage aircrafts’ sale (Boeings 747) to the Royal Caribbean Group under the Cape Town Convention.
  • Advising Springwater Capital on the divestment of Inspiring Benefits to AON.

  • Advising Bankinter on the acquisition of Evo Banco’s banking consumer business.
  • Advising Nemestschek Group on the acquisition of Dexma energy efficiency business and Forger app and intellectual property.
  • Advising Globant Group (NYSE traded company) on the acquisition of the Spain-based finance consultancy company Bluecap and digital marketing group Habitant.
  • Advising Goldacre and Mundi Ventures Series A Co-Investment Round in the Spanish Technological Company WiTrac.
  • Advising Idinvest Partners Venture Debt investment (Convertible Note) in 21 Buttons App.
  • Advising Salesforce Equity (JV) and Venture Debt investment in ISDI Education.
  • Advising Oxy Capital Equity (Series C) and Venture Debt Investment Siroco Real Estate.
  • Assistance to a UK-based financial investor in its acquisition of several portfolios of mortgages and real estate assets (REOs) owned by Irish and Spanish vehicles owned by different funds managed by a US financial investor.
  • Assistance to a US financial investor on two sales, by means of a subpart structure, of credit rights under a mixed portfolio composed of unsecured and secured NPLs and REOs derived from enforcement proceedings to a UK investor.
