Jakub Kamenický’s practice focuses on general corporate, competition and financial services matters.

Jakub’s corporate experience includes representing clients in connection with transactional matters, including mergers and acquisitions, and advising various Slovak and foreign legal entities on all aspects of general corporate matters on an ongoing basis. In addition to his corporate experience, Jakub has also advised clients on various banking and finance and competition matters.

Prior to joining us as a registered legal trainee, Jakub worked with the firm as a law clerk, drafting various legal documents and improving his legal research and analysis skills.

Jakub is a registered legal trainee with the Slovak Bar Association.

Corporate M&A

  • Advising a US multinational conglomerate on the sell-off of the Czech and Slovak assets of the client's real estate division to one of the world's leading investment firms. The transaction was part of the global deal whereby the client agreed to divest most of its assets (entire real estate division) to the investment company and a financial services company for more than US$26 billion. The Czech and Slovak transaction comprised the sale of five real estate assets that were divided into two separate share deals as well as intragroup financing repayment and assignment.
  • Advising a leading European manufacturer of knitted and woven geosynthetics for the construction market based in Slovakia, on various corporate and commercial legal matters.
  • Representing one of the largest Polish private equity funds with respect to the sale of shares in a Slovak travel agency.
  • Advising a Slovak private investment company in the €35 million acquisition of a significant European manufacturer.
  • Advised one of the world's leading producers and suppliers of cement and aggregates with respect to potential acquisition of subsidiaries of the group one of the world's leading building materials companies, including the Slovak subsidiary. Representation included due diligence regarding various legal aspects, in particular on corporate, financing, intellectual property, environmental, regulatory, insurance, real estate and litigation issues.
  • Advising a global electronic producer in connection with restructuring and €2 million acquisition of Czech- and Slovak-exclusive distributor of its equipment including advising on matters related to the establishment of a subsidiary, transfer of part of enterprise and on employment matters related to the transfer of employees.
  • Advising a Slovak branch of the international investment and development company in connection with the sale of shares in a residential complex SPV by existing shareholders and entry of a new international investor to the company and related M&A documentation. Representation included preparation of transactional documentation and related corporate documentation, as well as organizing of a general meeting and changes of the statutes. Part of this transaction was also restructuring of loans and structure of financing of client.
  • Advising a US university association in its €5 million sale of Slovak operations to a local university, which included corporate and corporate governance, employment, data protection, intellectual property (trademark transfers and licensing) and M&A matters – sale of shares and related corporate documentation.
  • Advising an agricultural, food processing and chemical holding company in connection with more than US$300 million acquisition of a food processing group operating in the Czech Republic, Slovakia, Hungary, the Netherlands and Poland including conducting of due diligence.
  • Advising a private equity firm specializing in management buy-outs in relation to a dispute with the executives of the client's Czech and Slovak subsidiaries including preparation of settlement agreements and related corporate documents and due diligence on change of corporate bodies and preparation of employment contract and related documentation.

Banking and Finance/Insolvency, Debt Collection

  • Advising on a €25 million multijurisdictional factoring transaction for one of the world’s leading automotive suppliers based in France. A cross-border team advised on the Slovak, German and French law aspects of the factoring and related securing legal institutes.
  • Advising a major Czech bank in €65 million and Kč550 million financing of the major European operator of food-retail stores in the Slovak Republic, the Czech Republic and Belgium. Our legal services included preparation of the English law facility agreement and the security documents in the Slovak Republic, the Czech Republic and Belgium.
  • Advising a Czech bank and a Slovak bank in connection with €60 million refinancing of acquisition costs and working capital/acquisition financing provided by the banks to leading telecommunication operator in Slovakia.
  • Advising a Czech bank on amendment of loan and security documentation regarding €20 million financing provided to a Slovak agricultural company. Our Slovak law legal services included preparation of security documents necessary for the change of the scope of the real estate property subject to mortgage and preparation of mortgage agreement for various real estate.
  • Advising Slovak and Czech branches of a US-based tire manufacturing company on the €550 million multinational refinancing of revolving credit facilities (including an increase of the facilities amount) provided by a syndicate of banks with J.P. Morgan Europe Limited, as administrative agent, and JPMorgan Chase Bank, as collateral agent to the client. We also advised clients on Czech and Slovak law matters in connection with multinational refinancing.
  • Representing a Slovak construction company regarding enforcement of its receivables during restructuring of another Slovak construction and engineering services company.

Regulatory/Dispute Resolution

  • Advising a major spirits manufacturer in the Slovak Republic in the proceeding before the General Court of the European Union regarding an application for annulment of the European Commission's decision on state aid including legal issues related to the national enforcement proceedings.
  • Advising in preparation of statement of intervenient in the proceedings No. T-216/15 Dôvera zdravotná poisťovňa, a. s. v. the European Commission regarding the annulment of the Commission Decision (EU) 2015/248 of 15 October 2014 (Dôvera zdravotná poisťovňa, a. s. v. the European Commission). This case is related to a claim of health insurance company Dôvera regarding alleged unlawful state aid provided to state owned health insurance companies.
  • Advising a Slovak investment company, in connection with its representation in appellate proceeding before the Court of Justice of the European Union regarding a €19.6 million penalty for breach of competition rules (a cartel of calcium carbide and magnesium for the steel and gas industry) by its former subsidiary, and representing the client before the European Commission regarding enforcement of the imposed penalty

Intellectual Property and Data Protection

  • Advising a German manufacturer on various issues connected with infringement of intellectual property rights by unlawful import of goods.
  • Advising a US university association in its sale of Slovak operations to a local university including advising on transfer of data outside the EU and on transfer and licensing of trademarks.
  • Advising various clients in due diligence on intellectual property rights, trademarks, patents, licensing agreements with respect to intellectual property rights.
