Jakub Kamenický is an associate in our International Dispute Resolution Practice. Jakub’s practice focuses on international and domestic dispute resolution, including investor-state arbitration and court litigation.

    Jakub’s experience includes drafting substantive and procedural submissions, work on assessments of prospective claims and strategy, as well as representing clients at hearings.

    Thanks to his experience in the Corporate Practice Group, Jakub has a deep understanding of cross-border M&A transactions, as well as compliance issues of international and domestic businesses. Jakub has also advised clients on complex banking and finance and competition and state aid matters.

    Jakub is a registered legal trainee with the Slovak Bar Association.

    International and Domestic Dispute Resolution

    • Advising the Slovak Republic in a pending investment arbitration under UNCITRAL rules initiated by a Polish investor as a result of introduction of a constitutional ban on export of unbottled water outside the territory of the Slovak Republic.
    • Advising a Central Asian country in an ICSID arbitration initiated by a foreign investor in connection with an alleged expropriation of its investment in a construction industry.
    • Advising investors in a pending ICSID arbitration against Serbia arising under the Cyprus-Serbia BIT and Canada-Serbia BIT.
    • Advising in preparation of statement of intervenient in the proceedings No. T-216/15 Dôvera zdravotná poisťovňa, a. s. v. the European Commission regarding the annulment of the Commission Decision (EU) 2015/248 of 15 October 2014 (Dôvera zdravotná poisťovňa, a. s. v. the European Commission). This case is related to a claim of health insurance company Dôvera regarding alleged unlawful state aid provided to state owned health insurance companies.
    • Advising a Slovak investment company, in connection with its representation in appellate proceeding before the Court of Justice of the European Union regarding a €19.6 million penalty for breach of competition rules (a cartel of calcium carbide and magnesium for the steel and gas industry) by its former subsidiary, and representing the client before the European Commission regarding enforcement of the imposed penalty.
    • Represented a Slovak municipality in a proceedings before Slovak courts on cancellation of an arbitral award issued by a Slovak arbitral court, return of unjust enrichment and contractual penalty.

    Corporate/ M&A

    • Advising a US multinational conglomerate on the sell-off of the Czech and Slovak assets of the client's real estate division to one of the world's leading investment firms. The transaction was part of the global deal whereby the client agreed to divest most of its assets (entire real estate division) to the investment company and a financial services company for more than US$26 billion. The Czech and Slovak transaction comprised the sale of five real estate assets that were divided into two separate share deals as well as intragroup financing repayment and assignment.
    • Advised one of the world's leading producers and suppliers of cement and aggregates with respect to potential acquisition of subsidiaries of the group one of the world's leading building materials companies, including the Slovak subsidiary. Representation included due diligence s regarding various legal aspects in particular on corporate, financing, intellectual property, environmental, regulatory, insurance, real estate and litigation issues.
    • Advising a private equity firm specializing in management buy-outs in relation to a dispute with the executives of the client's Czech and Slovak subsidiaries including preparation of settlement agreements and related corporate documents and due diligence on change of corporate bodies and preparation of employment contract and related documentation.

    Financial Services

    • Advising clients in the Middle East on economic sanctions and compliance matters.
    • Advising a Czech bank and two leading Slovak banks, in €120 million financing of a group of major European operators of food-retail stores in the Slovak Republic. Our legal services included preparation of the facility agreement and related legal opinions.
    • Representing a Czech bank in connection with two financings of a group of major European operators of food-retail stores in the Czech Republic, Slovakia and Belgium, each in the amount of €85 million.
    • Advising a Czech bank and a Slovak bank in connection with €60 million refinancing of acquisition costs and working capital/acquisition financing provided by the banks to leading telecommunication operator in Slovakia.
    • Advising an Austrian bank on a €25 million multijurisdictional factoring transaction for one of the world’s leading automotive suppliers based in France. A cross-border team advised on the Slovak, German and French law aspects of the factoring and related securing legal institutes.
    • Advising a Czech bank on amendment of loan and security documentation regarding €20 million financing provided to a Slovak agricultural company. Our Slovak law legal services included preparation of security documents necessary for the change of the scope of the real estate property subject to mortgage and preparation of mortgage agreement for various real estate.
    • Advising Slovak and Czech branches of a US-based tire manufacturing company on the €550 million multinational refinancing of revolving credit facilities (including an increase of the facilities amount) provided by a syndicate of banks with J.P. Morgan Europe Limited, as administrative agent, and JPMorgan Chase Bank, as collateral agent to the client. We also advised clients on Czech and Slovak law matters in connection with multinational refinancing.
