Francis Li’s practice focuses on corporate finance transactions including initial public offerings, private investments and private equity transactions, venture capital projects, investment fund establishment, mergers and acquisitions, and other securities-related transactions in Hong Kong and other Asian markets.

For two years, Francis was a director of a regional investment bank with the responsibility of handling equity capital market transactions.

Francis has intensive experience in advising companies in Hong Kong, the People’s Republic of China, Taiwan and other countries on corporate restructuring, mergers and acquisitions and offshore listings, and has been involved in a number of capital market transactions in Hong Kong, Singapore, Taiwan and other countries in Asia.

  • Acting as underwriters’ counsel or issuers’ counsel for more than 50 companies in a wide range of industries including shipping and coal trading, retail business, steel manufacturing, food and beverage, garment and clothing, chemical, construction materials, toll road and infrastructure, automobile parts and components, real estate development, catering, telecommunications, computer software, logistics, transportation, and medical and healthcare products in their business restructuring and initial public offerings in Hong Kong and other Asian markets.
  • Representing enterprises in China for negotiating and structuring private equity investments and other related matters.
  • Representing vendors and purchasers in a wide range of cross-border merger and acquisition transactions.
  • Representing investment funds in the establishment of open-ended investment funds for investment in China.
  • Counseling on the debt restructuring of a display panel manufacturer.
  • Counseling on a number of syndicate loan transactions and issuance of commercial papers, notes and negotiable securities.
  • Representing a number of listed companies in Hong Kong on compliance and regulatory matters and transactions and statutory filing and disclosure obligations.
